AI Assist Terms of Use

These AI Assist Terms of Use (“AI Terms”) apply to your use of the AI Assist functionality (“AI Assist”) embedded in or accessed through FME Software. These AI Terms supplement, and do not replace, the FME Software License Agreement (“Agreement”). In the event of a conflict, these AI Terms govern solely with respect to AI Assist.

  1. Scope and Permitted Use
    1. AI Assist is provided solely to facilitate your use of FME Software and may only be used in conjunction with FME Software.
    2. Use of AI Assist is at your risk and discretion. If you do not agree to all of these AI Terms, do not use the AI Assist functionality. You may deactivate AI Assist via the in-product FME Options menu or by blocking access to the fme-ai-service.safe.com domain via a firewall.
    3. Safe Software reserves the right to limit excessive or abusive use of AI Assist, including but not limited to implementing usage quotas, throttling, or temporarily suspending access to ensure service availability for all users.
  2. Data Usage and Restrictions
    1. Any data, content, prompts or materials you input into AI Assist or which are collected as part of the necessary model context, such as FME workspace canvas contents, workflow connections, parameters, and other metadata (“Input Data”), are not incorporated into Safe Software’s or any third party’s model training datasets. For clarity, Input Data is not used to train or improve any models by Safe Software or its processors (including Microsoft/Azure OpenAI) and is not retained in model parameters.
    2. By using AI Assist, you agree that Safe Software, and our third party processors (as listed in our AI Assist Whitepaper), may collect and process various types of data, including: (a) Input Data; (b) usage data about how you interact with AI Assist; (c) performance data about the operation of the AI Assist; and (d) output data generated by AI Assist (“Output Data”). Safe Software and its processors will not disclose your Input Data or Output Data to other customers, except as you expressly direct or as required by law. Your Input Data will not be used to generate outputs for other customers. We process this data to provide, maintain, and improve AI Assist, ensure its security and reliability, and comply with legal obligations. Our processing is based on the performance of our contract with you, our legitimate interests in improving our products, and your consent where required by applicable law.
    3. AI Assist does not require, and is not intended for, the processing of personal data. Do not explicitly include any personal or sensitive information in your Input Data. 
    4. You may only use AI Assist with data and content for which you have all necessary rights and permissions.
  3. Intellectual Property and Outputs
    1. Safe Software and its licensors retain all rights, title, and interest in and to AI Assist, including all models, algorithms, and related technology.
    2. You retain all rights, title, and interest in and to any Input Data. You grant Safe Software a limited, non-exclusive license to use, reproduce, and process your Input Data solely to provide and maintain AI Assist and as otherwise permitted by these AI Terms, the Agreement, and our Privacy Policy.
    3. You retain all rights, title, and interest in and to any Output Data, and Safe Software does not claim ownership of Output Data. Subject to your compliance with these AI Terms and the Agreement, you may use Output Data for your internal business purposes in connection with your licensed use of FME Software.
    4. You are solely responsible for reviewing and validating all Output Data before any use or reliance. The Output Data may not be accurate, complete, or suitable for your intended purpose.
  4. User Obligations and Restrictions
    1. You must not:
      1. Use AI Assist for any unlawful, infringing, or prohibited purpose;
      2. Attempt to reverse engineer, modify, or create derivative works of AI Assist;
      3. Use AI Assist in any manner that could subject Safe Software to liability or regulatory obligations not expressly assumed in these AI Terms;
      4. Use AI Assist to develop, train, or improve competing AI or machine learning models;
      5. Use AI Assist to generate Output Data intended to inflict harm on individuals or society, or in a manner that otherwise violates the usage policies of Azure OpenAI and AWS.
    2. You are responsible for ensuring your use of AI Assist complies with all applicable laws, regulations, and third-party rights.
  5. Disclaimers and Limitation of Liability
    1. AI Assist is provided “AS IS” and “AS AVAILABLE” without warranty of any kind. Safe Software disclaims all liability for any use of or reliance on AI Assist or Output Data, including any errors, omissions, or inaccuracies.
    2. Safe Software does not warrant that AI Assist will be uninterrupted, error-free, or suitable for any particular purpose.
    3. Safe Software shall have no liability for any damages arising from your use of AI Assist, except as expressly provided in the Agreement.
  6. Termination and Suspension
    1. Safe Software may suspend or terminate your access to AI Assist at any time if you breach these AI Terms or if continued provision of AI Assist becomes impractical or unlawful.
    2. Safe Software may modify, update, or discontinue any AI Assist functions or features at any time in our sole discretion, including to comply with applicable laws, address security concerns, or improve functionality.
  7. Miscellaneous
    1. In addition to the feedback mechanism embedded in AI Assist, you may provide any additional feedback regarding AI Assist by submitting a support case to Safe Software.
    2. Safe Software may update these AI Terms from time to time. We will provide reasonable notice of material changes to these AI Terms through our website, email, or within the FME Software. Your continued use of AI Assist after such notice constitutes acceptance of the modified terms.
    3. Any notices relating to AI Assist should be sent to legal@safe.com.
    4. All other terms of the Agreement remain in full force and effect.

Making our software, support, and website accessible to all is an important initiative to ensure that we are being inclusive of all people, no matter their abilities. Safe Software is committed to continually improving the accessibility of our technologies. 

This Accessibility Statement applies to:

  • Safe Software’s websites, including content published on the www.safe.com, www.hub.safe.com, and www.fme.safe.com domains (the “Websites”)
  • FME Form, FME Flow, and FME Flow Hosted (the “FME Software”)

Safe Software engages independent third-party accessibility experts to conduct periodic reviews of both the Websites and the FME Software, who conduct both automated and manual testing.

Websites

For our Websites, Safe Software aims to provide an accessible digital property that conforms to Section 508 Guidelines and the World Wide Web Consortium’s Accessibility Guidelines (WCAG) 2.2 Level AA. We maintain Software Accessibility Conformance Reports (also called VPATs) for the Websites. VPATs are available upon request by emailing accessibility@safe.com.

Some existing content may not be in compliance, and some content may meet only the minimum required compliance standards. This will be resolved as we continue our efforts to monitor and maintain acceptable compliance levels.

We continually test content and features for WCAG 2.2 Level AA compliance and remediate any issues to ensure we meet or exceed the standards. Testing of our Websites is performed by third-party accessibility experts using automated testing, screen readers, a color contrast analyzer, keyboard-only navigation techniques, and a variety of bookmarklets.

The following recent changes have been made to increase the accessibility of our Websites: 

  • Navigational aids are provided on all pages. Skip navigation links have been incorporated to facilitate keyboard navigation and to bypass groups of links on a page and jump directly to main content.
  • The title attribute has been used to make linked text more meaningful or to indicate if the link opens a new browser window.
  • Type ahead search results are announced automatically.
  • Radio buttons are grouped together.

Safe Software Inc. uses the Web Content Accessibility Guidelines (WCAG) version 2.2 as its guiding principle. As we develop new pages and functionality, the principles of accessible design and development are an integral part of conception and realization.

Software

For our FME software and related documentation, Safe Software has assessed our products against the WCAG 2.2 Level A and AA requirements, the Revised Section 508 Standards, and the Corrections to the ICT Final Rule. We maintain Software Accessibility Conformance Reports (also called VPATs) for the FME Software, which are updated at each major release. VPATs are available upon request by emailing accessibility@safe.com.

Some existing content may not be in compliance, and some content may meet only the minimum required compliance standards. This will be resolved as we continue our efforts to monitor and maintain acceptable compliance levels.

With respect to FME Form and FME Flow, large datasets and the tools used to manipulate and gain insights from them are inherently challenging to make accessible. It is for this reason that meaningful accessibility improvements for FME Form and FME Flow take more time to develop, test, and implement. Despite these challenges, we are currently working to enhance our products’ overall accessibility with each major release.

Applicant Privacy Policy

I. SCOPE

This Privacy Policy describes how Safe Software and its subsidiaries, affiliates, and related entities (collectively, “Safe Software,” “we,” or “us”) collect and use Personal Information about you during the application and recruitment process. 

This Privacy Policy applies to applicants to employee positions, as well as non-employee positions, such as internships, secondments and students. This Privacy Policy does not apply to Safe Software employees.

This Privacy Policy describes the categories of Personal Information that we collect, how we use your Personal Information, how we secure your Personal Information, when we may disclose your Personal Information to third parties, and when we may transfer your Personal Information outside of your home jurisdiction. This Privacy Policy also describes your rights regarding the Personal Information that we hold about you and how you can access, correct, and request erasure of your Personal Information.

We will only use your Personal Information in accordance with this Privacy Policy unless otherwise required by applicable law. We take steps to ensure that the Personal Information that we collect about you is adequate, relevant, not excessive, and used for limited purposes.

Safe Software may update this Privacy Policy to reflect new technologies, industry practices, or legal requirements, or for other operational reasons.

We will notify you of any material changes and, where required by applicable law, obtain your consent. Notification may be provided by email (using the most recent address you have provided), by posting an updated policy on our website, or through other appropriate means in accordance with applicable law.

II. WHO CONTROLS YOUR PERSONAL INFORMATION

Safe Software is a “data controller,” which means that it determines the purposes and means of the processing of your Personal Information. In limited circumstances, Safe Software, or its affiliates or subsidiaries, may also act as a “data processor,” meaning that it processes Personal Information on behalf of a data controller (for example, a Safe Software affiliate or subsidiary). 

III. INFORMATION WE COLLECT

In this Privacy Policy, Personal Information means any information about an identifiable individual collected in connection with the recruitment process. 

Safe Software may collect Personal Information directly from you, as a job applicant, or may receive Personal Information from third parties, for example, in connection with a background, employment, or reference check, subject to your consent where required by law.

Personal Information excludes anonymous or de-identified data that is not associated with a particular individual. We may collect, store, and use the following categories of Personal Information in connection with our recruiting activities:

  • Personal contact details such as name, title, addresses, telephone numbers, and personal email addresses.
  • Work history and other relevant experience including information contained in a resume, CV, cover letter, or job application.
  • Education information including degrees awarded, transcripts, and other information provided in support of the job application.
  • Eligibility to work in Canada
  • Information collected during phone screenings and interviews.
  • Details regarding the type of employment sought, desired salary, willingness to relocate, job preferences, and other information related to compensation and benefits.
  • Reference information and information received from background and criminal record checks, where applicable, including information provided by third parties.

Information related to previous applications to Safe Software or previous employment history with Safe Software.

IV. HOW WE USE YOUR INFORMATION

We only use your Personal Information where applicable law permits or requires it in connection with carrying out our application and recruitment process. We may use your Personal Information for the following legitimate business purposes:

  • Identifying and evaluating job applicants, including assessing skills, qualifications, and interests.
  • Verifying your information and carrying out employment, background, and reference checks, where applicable, subject to your consent where required by applicable law.
  • Communicating with you about the recruitment process and your application.
  • Keeping records related to our hiring processes.
  • Creating and submitting reports as required by applicable laws or regulations.
  • Analyzing and improving our application and recruitment process.
  • Complying with applicable laws, regulations, legal processes, enforceable government requests, and corporate governance requirements.
  • Protecting the rights and property of Safe Software, other job applicants, employees, or the public, as required or permitted by law.

In addition to using your Personal Information for the position for which you have applied, we may retain and use your Personal Information to inform you about and consider you for other positions that may be appropriate for you. If you do not wish to be considered for other positions or would like us to remove your Personal Information, please contact us as specified below.

We will only use your Personal Information for the purposes we collected it for. If we need to use your Personal Information for an unrelated purpose, we will provide notice to you and, if required by law, seek your consent. We may use your Personal Information without your knowledge or consent where required by applicable law or regulation.

You will not be subject to hiring decisions based solely on automated decision-making, but we may use AI-based applicant screening tools with oversight from our human resources team.

V. LEGAL BASIS FOR PROCESSING

We process your Personal Information for legitimate business purposes, to meet our legal obligations, to fulfil contractual or pre-contractual obligations, or when you have given us your consent.

If you have consented to our use of your Personal Information for a specific purpose, you have the right to withdraw your consent; however, this will not affect any data processing that has already occurred.

Legitimate business purposes include some or all of the following:

  • Deciding whether to make an offer or employment to you
  • The furtherance of Safe Software’s business operations, including human resources, IT, finance, and other administrative functions and initiatives;
  • The pursuit or defense of any claims, rights, or litigation;
  • The detection or investigation of criminal activities affecting Safe Software;
  • Accounting or auditing functions and reporting duties;
  • Ensuring the security of Safe Software’s information networks and systems;
  • The protection of Safe Software’s intellectual property rights, confidential information, security or product development;
  • Monitoring and ensuring compliance with policies, processes and procedures, such as security, fraud prevention, employee benefits, and training.

Whenever we process Personal Information for these purposes, we will ensure that we always respect your privacy rights and take them into account.

You have the right to object to this processing if you wish, and if you wish to do so please contact privacy@safe.com. Please bear in mind that if you object this may affect our ability to carry out some tasks for your benefit.

VI. HOW WE DISCLOSE YOUR INFORMATION

We will only disclose your Personal Information to third parties where required by law or to our employees, contractors, designated agents, or third-party service providers who require it to assist us with administering the recruitment process, including third-party service providers who provide services to us or on our behalf. We may use third-party service providers for various purposes, including, but not limited to, obtaining employment verification and background checks. These third-party service providers may be located inCanada, the UK, Europe, the USA, or other countries where we have determined there are suitable privacy protections in place.

We require all our third-party service providers, by written contract, to implement appropriate security measures to protect your Personal Information consistent with our policies and any data security obligations applicable to us. We do not permit our third-party service providers to use your Personal Information for their own purposes.

We may also disclose your Personal Information for the following additional purposes where permitted or required by applicable law:

  • To comply with legal obligations or valid legal processes such as search warrants, subpoenas, or court orders. When we disclose your Personal Information to comply with a legal obligation or legal process, we will take reasonable steps to ensure that we only disclose the minimum Personal Information necessary for the specific purpose and circumstances.
  • During emergency situations or where necessary to protect the safety of persons.
  • Where the Personal Information is publicly available.
  • If a business transfer, merger, acquisition, amalgamation, substantial asset sale, or change in ownership occurs.
  • For additional purposes with your consent where such consent is required by law.

Safe Software uses two third-party AI vendors during the recruiting process: Metaview and Ashby ATS. 

Metaview is an AI recruiting tool we use to automate interview note-taking. With candidate consent, it can record and transcribe recruiting calls, generate structured summaries, and provide notes to support consistent hiring decisions. 

Ashby is our all-in-one applicant tracking system used to run hiring (ATS, scheduling, sourcing/CRM, analytics) with AI features that can assist with application review, interview note-taking/summaries, outreach copy, and report building. 

Safe Software sees AI as a collaborative assistant, rather than an autonomous decision-maker. Our goal is to ensure all AI tools augment human judgment, maintain accountability, and respect human rights. For more information, see our Responsible AI Policy.

Third-party AI Vendors, including Ashby and Metaview, are subjected to rigorous testing and review before being engaged by Safe Software:

  • Third-party AI Vendors are subject to a rigorous vendor review process by cross-functional teams in Legal, Security, and Privacy, including an AI Risk Review.
  • We ensure human review of AI-driven decisions in sensitive areas, such as hiring.

VII. CROSS-BORDER TRANSFER OF INFORMATION

Safe Software utilizes servers in Canada, the US, and Europe. As a result, your information may be processed on servers located outside of the country where you live.

Data protection laws vary among countries, with some offering more protection than others. Regardless of where your information is processed, Safe Software adheres to GDPR and PIPEDA standards and applies the same protections described in this Privacy Policy.

Safe Software also complies with relevant legal frameworks relating to the transfer of data. These are described below.

        Adequacy Decisions

The European Commission has determined that certain countries outside of the European Economic Area (EEA) adequately protect personal information. The UK, Switzerland, and Brazil have adopted similar adequacy mechanisms. When transferring data, we may rely on the following adequacy decisions:

  • European Commission adequacy decisions
  • UK adequacy regulations
  • Swiss adequacy decisions
  • ANPD adequacy decisions

Standard Contractual Clauses

Standard Contractual Clauses (“SCCs”) are written agreements between parties that can serve as a basis for data transfers from certain countries to third countries.

SCCs have been developed by the European Commission. These cannot be modified by the parties using them. Safe Software may rely on the EU SCCs for our data transfers where required and in instances where they are not covered by an adequacy decision.

VIII. DATA SECURITY AND RETENTION

Except as otherwise permitted or required by applicable law or regulation, we will only retain your Personal Information for as long as necessary to fulfill the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements. Under some circumstances we may anonymize your personal information so that it can no longer be associated with you. We reserve the right to use such anonymous and de-identified data for any legitimate business purpose without further notice to you or your consent.

If you are offered and accept employment with Safe Software, the Personal Information we collect during the application and recruitment process will become part of your employment record, and we may use it in connection with your employment consistent with our employee Personal Information policies. If you do not become an employee, or, once you are no longer an employee of Safe Software, we will retain and securely destroy your Personal Information in accordance with our document retention policy and applicable laws and regulations. 

Safe Software is committed to ensuring the security of your Personal Information in order to protect it from unauthorized access, collection, use, disclosure, copying, modification, or destruction. The following security measures will be implemented to ensure that your information is properly protected: the use of user IDs and passwords, access controls, firewalls, antivirus software, intrusion detection systems, system penetration testing, and physically secure office facilities.

We will employ appropriate security measures when destroying your Personal Information, including shredding hard-copy documents and deleting electronically stored Personal Information.We continually review and update our security policies and controls as technology evolves to ensure ongoing protection of Personal Information. IX. YOUR PRIVACY RIGHTS

Safe Software is committed to upholding your privacy rights, as outlined in relevant privacy legislation. You have the right to:

  • The right to be informed: You have the right to know how your Personal Information is being collected and used.
  • The right of access: You can request to see what data an organization holds about you.
  • The right to rectification: You can have inaccurate Personal Information corrected.
  • The right to erasure (or the right to be forgotten): You can request that your Personal Information be deleted under certain circumstances.
  • The right to restrict processing: You can request that the use of your Personal Information be limited.
  • The right to data portability: You can receive your data in a machine-readable format and transfer it to another service.
  • The right to object: You have the right to object to the processing of your Personal Information in certain situations, such as for direct marketing.
  • Rights related to automated decision-making and profiling: You have the right to challenge decisions made by automated means, without human involvement.

Safe Software’s Code of Conduct

Safe Software is dedicated to providing an engaging, professional, and rewarding experience for all users, attendees, sponsors, staff, and other participants of our FME Community and our events, whether held in person or virtually. All our forums and events, including conferences, summits, training sessions, user meetings, and related social events, are intended for professional collaboration and an open sharing of ideas. This requires an environment that is diverse, inclusive, safe, and free from discrimination and harassment in any form.

All individuals who participate (or plan to participate) in Safe Software’s FME Community or other events must abide by this Code.


Expectations
  1. Be kind, professional, respectful, and collaborative.
  2. Review our guidelines for contributing respectfully in our FME Community.
  3. Refrain from demeaning, discriminatory, sexually charged, intimidating, or harassing behavior and speech. This includes statements made in social media postings, online forums, text messages, and all other forms of electronic communication.
  4. See Something, Say Something – if you experience or observe any behavior that does not meet the standard of this Code, then let us know immediately by emailing support@safe.com for FME Community issues, train@safe.com for training events, and events@safe.com for all other events.

Unacceptable Behavior
  1. Discrimination and harassment will not be tolerated in any form, whether in person or vitually. This includes, but is not limited to, discrimination or harassment based on race, colour, ancestry, place of origin, political belief, age, religion, sex, gender identity and expression, sexual orientation, maritial status, family status, physical or mental disability, physical appearance or any other status protected by laws in which the event is being held.
  2. Inappropriate behavior comes in many forms and may include jokes, slurs, derogatory statements, foul or obscene language, offensive clothing, nudity, leering, stalking, staring, gestures, pictures or drawings, violating personal space, harassing photography or recordings, unwelcome sexual advances, unwanted or offensive letters or poems, offensive email or voicemail messages, or social media postings.
  3. Discrimination and harassment do not have to be intentional to be a violation of this Code. Any conduct that is humiliating or intimidating to the recipient may constitute harassment. Put yourself in the other person’s shoes and carefully avoid comments or actions that have the potential to be misinterpreted.

Consequences of Unacceptable Behavior

If a participant engages in any behavior that violates this Code, whether in person or virtually, then Safe Software’s forum and event organizers may take any action they deem reasonable in the circumstances. Consequences may include: removing posted content, warnings issued to the offending individual, expulsion from all or part of an event without any refund or other compensation, contacting local authorities, and/or exclusion from some or all future Safe Software forums, events, training, or other activities.

FME® Certification Program Terms and Conditions

By applying for certification as an FME Certified Professional, FME Flow Certified Professional, or FME Certified Trainer (each an “FME Certification”), you agree to the following terms and conditions:

  1. You have reviewed the certification page on Safe.com prior to applying for an FME Certification.
  2. All personal and other information you supply to Safe Software Inc. (“Safe Software”) for the purpose of FME Certification is complete and accurate.
  3. Safe Software will endeavour to keep all exam questions current, but makes no guarantee as to the accuracy of exam questions.
  4. All exam questions are confidential and may not be copied, shared, or otherwise distributed to third parties. However, Safe Software may make sample exam questions available from time to time, and these sample questions are not considered confidential.
  5. If the certification process requires you to submit sample projects, training demonstrations, or other written or visual materials (collectively, your “Materials”), then all intellectual property rights in your Materials will remain with you and your licensors. You warrant that your Materials are your original work and any third-party contributions are expressly acknowledged and properly licensed. Your Materials are not considered confidential information unless a separate Confidentiality Agreement is signed by the parties.
  6. Safe Software will review your application in a timely fashion. Safe Software assumes no responsibility for lost applications or failure of any electronic communications.
  7. Safe Software may accept or reject any application to the FME Certification Program in its sole discretion. Further, once awarded, FME Certification may be revoked at Safe Software’s sole discretion.

FME® Flow Hosted Terms of Use

Your use of the FME Flow Hosted online services (the “Online Services”) provided by Safe Software Inc. (“Safe Software”) is subject to: (i) these Terms of Use; (ii) any Data Processing Addendum signed by you and returned to legal@safe.com; (iii) any other terms which accompany a specific offering of the Online Services; and (iv) any restrictions on use described in the order form when you request a free trial or purchase the Online Services (collectively, the “Terms”). By clicking “Accept” or otherwise accessing or using the Online Services, you agree that these Terms are enforceable like any written agreement signed by you and are legally binding between you and Safe Software. If you do not agree with any of the Terms, do not use the Online Services. These Terms supersede the language in any order or other document you give to Safe Software and may only be modified by a written amendment signed by both parties. If you are using the Online Services on behalf of a business or other entity, then you agree that you are authorized to accept these Terms on behalf of such entity.


1. Using the Online Services

Online Services include any online platform, software, documentation or service available at console.fmecloud.safe.com, or any successor URLs controlled by Safe Software or its affiliates, as well as any related technical support. You may access and use the Online Services only in compliance with the Terms. You may access the Online Services using the interface(s) provided and in compliance with applicable laws, including data privacy laws and regulations. Safe Software reserves the right to immediately suspend or stop providing Online Services to you if Safe Software, acting reasonably, believes you failed to comply with these Terms.

You agree not to knowingly: (a) use any device, software or technique to interfere with or attempt to interfere with the proper working of the Online Services or take any action which could damage, disable, overburden, or impair the Online Services infrastructure or Safe Software’s network system; (b) post or transmit to the Online Services any content in violation of another party’s intellectual property rights or any content that is unlawful, fraudulent, harassing, libelous, or obscene; (c) post or transmit to the Online Services any information that contains a virus, bug, or other harmful item; (d) copy, distribute, prepare derivative works, reverse engineer, or use the Online Services other than as permitted herein; (e) attempt to gain unauthorized access to any software, other accounts, computer systems, or networks connected to any Online Services infrastructure through hacking, password mining, or any other means; (f) take any action which may interfere with any other party’s use and enjoyment of the Online Services; or (g) obtain or attempt to obtain any materials, services, or information through any means not intentionally made available through the Online Services.

Safe Software will use reasonable commercial efforts to make the Online Services available except for: (i) planned downtime for which we will provide you with at least eight hours advance notice; or (ii) unanticipated or unscheduled downtime of all or part of the Online Services, including system failure or other events beyond the reasonable control of Safe Software. You acknowledge that certain components of the Online Services are provided by third party service providers, including but not limited to Amazon.com Inc., and are beyond the reasonable control of Safe Software.

The Online Services allow you to launch an “Instance”. An Instance is a self-contained, virtual server machine with FME Flow software installed. Safe Software has no ability to access your Instance through the FME Flow web interface or APIs. As such, it is your responsibility to monitor and maintain the FME Flow software within your Instance. See the “FME Flow Hosted Shared Responsibility Model” section in the FME Flow Hosted Support Policy for more information.

You will be enrolled in the Included support plan as part of the Online Services unless you upgrade to a Managed support plan. Details of the available support plans are located here.


2. Your Account

To access the Online Services you will be required to register for an account. You agree to provide accurate and complete registration information. It is your responsibility to inform Safe Software of any changes to your registration information or to change such information by signing into your account. You are responsible for all activities that occur under your account. Safe Software is not responsible for unauthorized access to your account. You agree to keep your password confidential. If you suspect your password may be compromised, you must immediately change your password and send notice to Safe Software.

If you have contracted with one of Safe Software’s MSP Partners to provide a Managed support plan or other services related to your use of the Online Services, then you expressly agree that such MSP Partner is considered an authorized user of your account. MSP Partners are independent third parties who are not affiliated with Safe Software. It is up to you to negotiate any representations, warranties, and confidentiality terms with MSP Partners that you select to manage your FME Hosted account. Safe Software is not responsible for and does not assume liability for any actions conducted by an MSP Partner with regard to your account.


3. Your Content

The Online Services may allow you to transmit, use, modify and publish your workspaces, data, and other content (collectively, “Your Content”). You retain ownership of any intellectual property rights that you hold in Your Content. You consent to Safe Software’s use of Your Content for the limited purpose of providing and operating the Online Services. Safe Software is not restricted from independently developing workspaces and other components with similar functionality to Your Content.

Safe Software will ensure there are reasonable and appropriate measures to help you secure Your Content. You may designate the geographic location for your Instance and Your Content based on several available AWS locations including the EU, Canada, United States, and Australia. However, you acknowledge that the Internet is a network of computers worldwide, and that any information submitted to the Online Services necessarily is routed via third-party computers, and that Safe Software is not responsible for lapses in online security and does not assume liability for improper use of Your Content by a third party.


4. Your Value-Added Applications

You may use the Online Services as part of your Value-Added Application or Service (“VAAS”). You are responsible for any fees accrued through the use of your VAAS. You are solely responsible for branding, licensing, maintaining and supporting your VAAS. Your VAAS must add some functionality to the Online Services and you may not resell, remarket, rent, lease, or rebrand the Online Services, or the included FME Flow software, as a stand-alone application or service.


5. Trademarks & Copyright

“FME”, “Safe Software”, “FME Form”, “FME Flow” “FME Flow Hosted”, “FME Realize” and the Safe Software and FME Logos are the trademarks of Safe Software Inc. You may only use these trademarks in accordance with the Safe Software Trademark Usage Guidelines.

All other brand names, product names, or trademarks belong to their respective holders.

All intellectual property rights in the Online Services are owned by Safe Software, or its licensors, and do not in any way transfer to you by virtue of your access to the Online Services. These Terms do not grant you any rights to use the trademarks, logos, or other brand features of Safe Software or its licensors other than as expressly stated herein. You agree not to obscure, remove, alter, or tamper with any legal notices displayed in conjunction with the Online Services.


6. Software for the Online Services

Software that is made available for use through the Online Services is the copyrighted work of Safe Software or third-party licensees. Safe Software gives you a personal, worldwide, non-assignable, and non-exclusive license to use such software only as part of the Online Services. You may not copy, modify, distribute, sell, or lease any part of the included software separately from the Online Services, nor may you reverse engineer or attempt to extract the source code of that software. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF INCLUDED SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.

Some of the software included in the Online Services may be offered under an open source license. Such open source license terms work in conjunction with these Terms. However, if there is a conflict between these Terms and the open source license terms, the open source license terms will prevail.


7. Third Party Content

If you use the Online Services in conjunction with content or applications provided by third parties, then you agree to comply with any terms and conditions provided by such third parties. You may not use the Online Services in conjunction with any third-party content licensed in any manner that could cause, or be interpreted or asserted to cause, the Online Services to become subject to any copyleft provisions. Your use of any third-party content is at your sole risk.


8. Fees & Payment

For pay-as-you-go access to the Online Service, all fees will accrue based on your hourly usage. Safe Software, via an online payment provider, will automatically bill your credit card based on your accrued fees each month.

For annual plans, payment is due at the beginning of each year. For additional payment options, please contact sales@safe.com.

If we are unable to bill your credit card directly and your payment is thirty (30) days or more overdue, in addition to any of its other rights or remedies (including but not limited to any termination rights set forth herein), Safe Software reserves the right to suspend your access to the Online Services without liability to you until such overdue amounts are paid in full.


9. Modification & Termination

Functionality and offerings may be added, removed or eliminated. Usage limits may be added or revised at any time with advance notice to you. Usage limits will not be changed during an active annual plan term.

Either party may terminate your use of the Online Services on thirty (30) days written notice to the other party. Safe Software may terminate your use of the Online Services immediately and without notice if Safe Software believes that you are in violation of these Terms including, but not limited to, non-payment of fees. You remain liable for any fees accrued up to the date of termination and for any obligations (such as indemnity obligations) which by their nature are intended to survive termination. Safe Software will not refund any pre-paid or annual plan fees unless required by law or if termination is due to Safe Software’s breach of these Terms.

Upon termination of the Online Services, Safe Software shall retain Your Content for a period of 30 days. After the expiration of this period, Safe Software will delete Your Content in accordance with its data retention policy.

The Terms may be modified at any time in Safe Software’s sole discretion. All modified Terms will be posted at https://www.safe.com/legal/#fme-flow-hosted-terms-of-use  and become effective sixty (60) days after posting. It is your responsibility to review the Terms regularly for updates. Your continued use of the Online Services shall be deemed to constitute your acceptance of any revised Terms.


10. Warranty, Disclaimer & Limitations on Liability

SAFE SOFTWARE WARRANTS THAT THE ONLINE SERVICES AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND WITH ALL DEFECTS AND ERRORS. TO THE EXTENT PERMITTED BY LAW BUT WITHOUT PREJUDICE TO YOUR MANDATORY LEGAL RIGHTS, SAFE SOFTWARE MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, THAT THE ONLINE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND TO THE EXTENT PERMITTED BY LAW, SAFE SOFTWARE ASSUMES NO LIABILITY FOR ANY DATA TRANSLATED BY THE ONLINE SERVICES, OR FOR LOSSES ARISING DUE TO THE ACTS OR OMISSIONS OF THIRD PARTIES IN CONNECTION WITH THE ONLINE SERVICES.

EXCEPT FOR DAMAGES ARISING FROM FRAUD OR WILFUL MISCONDUCT, OR FOR DAMAGES WHICH CANNOT BE LIMITED UNDER APPLICABLE LAWS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFIT, REVENUE, DATA OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE ONLINE SERVICES, WHETHER OR NOT SUCH LOSS OR DAMAGE IS REASONABLY FORESEEABLE. NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS, SAFE SOFTWARE’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE ONLINE SERVICES IS LIMITED TO THE FEES PAID BY YOU FOR THE ONLINE SERVICES DURING THE PREVIOUS 12 MONTHS. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.


11. Indemnity

Safe Software will defend and indemnify you from any action brought against you, to the extent that it is based on a claim that the Online Services infringe a copyright, patent, trademark, or other intellectual property right of any third party, provided that Safe Software is promptly notified in writing of the claim and you provide Safe Software with reasonable assistance, information, and authority necessary to negotiate and settle the claim.

You agree to indemnify and hold Safe Software and its affiliates, officers, agents, and employees harmless from any demands, loss, liability, claims, proceedings, or expenses (including attorney’s fees) made against Safe Software to the extent that such claims arise from your use of the Online Services, your VAAS, or your violation of these Terms.


12. Right to Regulate & Monitor

You acknowledge that Safe Software has the right, but not the obligation, to monitor the Online Services and to use and disclose any information necessary to operate the Online Services and to comply with legal obligations or government requirements.

Safe Software may collect usage statistics. Usage statistics will be used to identify trends and usage patterns which will help focus development efforts for future versions of the Online Services and improve our documentation. Safe Software does not collect personally identifiable information as part of the usage statistics feature. For more information, including how to manage your participation, please see our Usage Statistics Policy.


13. Additional Rights in the EU

If the EU Data Act applies to your use of the Online Services, then you have the right to access and export Your Content and metadata generated by your use of the Online Services (collectively, “Exportable Content”), in a structured, commonly used, machine-readable format, subject to applicable security and authentication requirements. Safe Software shall provide documentation and reasonable assistance to enable the transfer of Exportable Content to you or to a third party designated by you, in accordance with applicable law. Safe Software will not impose barriers to such access, export, or sharing, except as required to protect trade secrets, intellectual property, or comply with applicable law. 

Safe Software will provide you with at least sixty (60) days advance notice of any material change to these Terms that may impact your right to access or export your Exportable Content. 

You may elect to exercise your export rights and terminate your use of the Online Services by delivering at least sixty (60) days notice to Safe Software. Safe Software will refund prepaid fees prorated as of the termination date. Notwithstanding any minimum term, auto-renewal, or lock-in clause in an Order Form or elsewhere, for customers under EU law, these switching and exit rights shall prevail, and any conflicting contractual restriction is hereby void.

Nothing in these Terms shall be interpreted to exclude or limit any rights or remedies you may have under the EU Data Act or other applicable law regarding access to and use of your data. Any contractual terms that are found to be unfair under the EU Data Act or other applicable law shall not be binding on you, and the remainder of these Terms shall continue in full force and effect.


14. Governing Law

The Terms shall be governed by, construed, interpreted, and enforced in accordance with the laws of the Province of British Columbia and the laws of Canada. You hereby irrevocably submit to the jurisdiction of the courts of British Columbia for any disputes arising out of or relating to these Terms.

This provision above shall not exclude or limit the application of mandatory laws of any jurisdiction that cannot be derogated from by agreement, including but not limited to the European Union General Data Protection Regulation (GDPR), the EU Data Act, and other applicable data protection, privacy, or consumer protection laws that apply to the parties’ relationship or activities under these Terms.


15. Severability & Waivers

If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, void, or for any reason unenforceable, the remainder of the Terms shall continue in full force and effect. No failure or delay by Safe Software in enforcing any provision of these Terms shall be a waiver of Safe Software’s rights to enforce these Terms.

FME® Hub Contributor Terms of Use

Your use of the FME Hub marketplace provided by Safe Software Inc. (“Safe Software”) is subject to these Terms of Use (the “Terms”). By clicking “Accept” or otherwise using the FME Hub, you agree that these Terms are enforceable like any written agreement signed by you and are legally binding between you and Safe Software. If you do not agree with any of the Terms, do not use the FME Hub. If you are using the FME Hub on behalf of a business or other entity, then you agree that you are authorized to accept these Terms on behalf of such entity.

1. Contributing to the FME Hub

The FME Hub may allow you to publish and distribute your templates, custom transformers, custom formats and other applications (collectively, “Your Content”). You may access the FME Hub using the interface(s) provided and in compliance with these Terms and applicable laws. Safe Software reserves the right to immediately suspend your access to the FME Hub and/or remove Your Content if Safe Software believes you failed to comply with the Terms.

By uploading Your Content, you give Safe Software a non-exclusive, transferable, royalty-free, worldwide license to use, modify, sub-license and distribute Your Content in accordance with the terms of the MIT License. You retain ownership of all other intellectual property rights that you hold in Your Content. Safe Software is not restricted from independently developing workspaces, packages, and other components that have similar functionality to Your Content.

If you wish to become a Verified Publisher, additional terms and conditions, as set out in a separate FME HUB Verified Publisher Agreement, will apply.

Safe Software makes no warranties that your use of the FME Hub will be error–free or uninterrupted, that any defects will be corrected, or that Your Content will be secure or not otherwise lost or damaged.

You warrant to Safe Software that no portion of Your Content, or the use of it by Safe Software as contemplated by these Terms, infringes on the property rights of another including, without limitation, patent, copyright or trademark rights. You warrant to Safe Software that Your Content will not contain any viruses, trojans, malicious programs, or other components that may harm the computer systems or networks of any users of Your Content or the FME Hub.

Safe Software shall not be liable for indirect, special, incidental, punitive, exemplary, or consequential damages, or loss of profit, revenue, content or business opportunity arising out of or in connection with the use or performance of the FME Hub, whether or not such loss or damage is reasonably foreseeable. Safe Software’s total liability for any claim related to the FME Hub is limited to the fees paid by you for access to the FME Hub during the previous 12 months or $1000, whichever is less. This limitation of relief is a part of the bargain between the parties.

7. Indemnity

You agree to indemnify and hold Safe Software and its owners, affiliates, directors, officers, agents, and employees harmless from any demands, loss, liability, claims, proceedings, or expenses (including attorney’s fees), made against Safe Software arising from your use of the FME Hub, Your Content, or your violation of these Terms.

8. Right to Regulate & Monitor

You acknowledge that Safe Software has the right, but not the obligation, to monitor the FME Hub. You agree that Safe Software may use and disclose any information necessary to operate the FME Hub, remediate security vulnerabilities, and comply with legal obligations or government requirements.

9. Governing Law

The Terms shall be governed by and enforced in accordance with the laws of the Province of British Columbia and the laws of Canada. You hereby irrevocably submit to the jurisdiction of the courts of British Columbia.

10. Severability & Waivers

If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, void, or for any reason unenforceable, the remainder of the Terms shall continue in full force and effect. No failure or delay by Safe Software in enforcing any provision of these Terms shall be a waiver of Safe Software’s rights to enforce these Terms.


FME® Apps – Terms of Use

A. Scope 

    1. Your use of the Apps is subject to these: (i) Terms of Use; (ii) the  FME Software License Agreement (“Agreement”); (iii) our Privacy Policy; and (iv) any our terms which accompany a specific app (collectively, the “Terms”)
    2. These App Terms supplement, and do not replace, the Agreement. In the event of a conflict, these Terms of Use govern solely with respect to the Apps.
    3. Apps may include software, documentation, or data provided by Safe Software, its licensors or its affiliates.
    4. Apps may be provided by Safe Software via safe.com or through an online marketplace, such as the Google Play Store or the Apple App Store.
    5. By using the Apps, you agree to the Terms. If you do not agree with any of the Terms, do not use the Apps. If you are using the Apps on behalf of a business, you agree that you are authorized to accept these Terms on behalf of such business.

B. User Obligations and Restrictions

    1. By using the Apps, you represent and warrant that:
      1. you have the legal capacity to and you agree to comply with these Terms;
      2. any registration information you submit will be true, accurate, current, and complete;
      3. you will not use the Apps for any unlawful, infringing, or prohibited purpose; 
    2. You agree to not knowingly:

      1. use any device, software or technique to interfere with or attempt to interfere with the proper working of the Apps or take any action which could damage, disable, overburden or impair the Apps infrastructure or any other application, network or service connected to the Apps;
      2. post or transmit via the Apps any content in violation of another party’s intellectual property or privacy rights or any content that is unlawful, fraudulent, harassing, libelous, or obscene;
      3. post or transmit via the Apps any content that contains a virus, bug, or other harmful item;
      4. copy, distribute, prepare derivative works, reverse engineer, or use the Apps other than as permitted herein;
      5. attempt to gain unauthorized access to any software, applications, content, accounts, computer systems or networks connected to any Apps through hacking, password mining or any other means;
      6. take any action which may interfere with any other party’s use and enjoyment of the Apps;
      7. obtain or attempt to obtain any materials, services or information through any means not intentionally made available through the Apps; or
      8. circumvent, disable or otherwise interfere with any security-related features of the Apps.

C. License 

    1. Safe Software gives you a personal, revocable, non-transferable and non-exclusive license to install and use the Apps in accordance with these Terms on devices owned or controlled by you. Except as expressly permitted by law, you may not copy, modify, distribute, sell or lease the Apps, nor may you reverse engineer or attempt to extract the source code of the Apps. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF ANY SOFTWARE INCLUDED IN THE APPS TO ANY OTHER SERVER OR LOCATION FOR FURTHER USE, REPRODUCTION, OR REDISTRIBUTION IS EXPRESSLY PROHIBITED.
    2. Some of the software included in the Apps may be offered under an open source license. Such open source license terms work in conjunction with these Terms. However, if there is a conflict between these Terms and the open source license terms, the open source license terms will prevail.

D. Intellectual Property 

    1. “FME”, “Safe Software”, “FME Form”, “FME Flow”, “FME Flow Hosted”, “FME Realize” and the Safe Software and FME Logos are the trademarks of Safe Software Inc. You may only use these trademarks in accordance with the Safe Software Trademark Usage Guidelines. All other brand names, product names, or trademarks belong to their respective holders.
    2. All intellectual property rights in the Apps are owned by Safe Software, or its licensors, and do not in any way transfer to you by virtue of your use of the Apps.

    3. These Terms do not grant you any rights to use the trademarks, logos or other brand features of Safe Software or its licensors. You agree not to obscure, remove, alter or tamper with any trademarks, logos, brand features or other legal notices displayed in conjunction with the Apps.
    4. The Apps may allow you to transmit, use, modify and publish your location, messages, data, files, FME Flow connection credentials, and other content (collectively, “Your Content”). You retain ownership of any intellectual property rights that you hold in Your Content.

E. Warranty, Disclaimers & Limitation of Liability

    1. SAFE SOFTWARE WARRANTS THAT THE APPS AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND WITH ALL DEFECTS AND ERRORS. TO THE EXTENT PERMITTED BY LAW, SAFE SOFTWARE MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. SAFE SOFTWARE MAKES NO WARRANTIES THAT THE APPS WILL BE ERROR-FREE OR UNINTERRUPTED, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.
    2. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SAFE SOFTWARE ASSUMES NO LIABILITY FOR ANY DATA USED OR TRANSMITTED BY THE APPS, OR FOR LOSSES ARISING DUE TO THE ACTS OR OMISSIONS OF THIRD PARTIES IN CONNECTION WITH THE APPS.
    3. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFIT, REVENUE, DATA OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE APPS, WHETHER OR NOT SUCH LOSS OR DAMAGE IS REASONABLY FORESEEABLE. SAFE SOFTWARE’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE APPS IS LIMITED TO THE FEES PAID BY YOU FOR THE APPS DURING THE PREVIOUS 12 MONTHS OR $1000, WHICHEVER IS LESS. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

F. Termination and Suspension

    1. Safe Software reserves the right to modify the Apps at any time and in its sole discretion. Functionality and offerings may be added, removed or eliminated. Usage limits may be added or revised at any time with notice to you.

    2. Either party may terminate your use of the Apps immediately and without notice. You remain liable for any obligations (such as indemnity obligations) which by their nature are intended to survive termination.

    3. The Terms may be modified at any time in Safe Software’s sole discretion. All modified Terms will be posted at safe.com/legal. It is your responsibility to review the Terms regularly for updates. Your continued use of the Apps after such notice constitutes acceptance of the modified terms. 

G. Privacy

    1. Any location data that is collected by the Apps is not transmitted to or collected by Safe Software. Safe Software does not access, store, or process Your Content or other personal information except as necessary to provide the Apps. You are responsible for ensuring that any personal data you collect, process, transmit, store or otherwise use as part of the Apps is done in a secure and legally compliant manner.

H. Apple and Android Devices

The following terms apply when you use an App obtained from either the Apple App Store or Google Play (each an “App Distributor”): 

    1. the license granted to you for the App is limited to a non-transferable license to use the App on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service;
    2. you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services to you with respect to the App;
    3. in the event of any failure of the App to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the App, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the App;
    4. you must comply with applicable third-party terms of agreement when using the App; and,
    5. you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions contained in these Terms of Use, and that each App Distributor will have the right to enforce the relevant terms and conditions in these Terms of Use against you.
    6. you represent and warrant that: (a) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country; and, (b) you are not listed on any U.S. government list of prohibited or restricted parties.

 

I. Third Party Applications & Content

    1. You may configure the Apps to connect to or use third-party applications or content. Such connections and usage are not under Safe Software’s control, and Safe Software is not responsible for the security or reliability of such connections or usage.
    2. If you use the Apps in conjunction with applications or content provided by third parties, then you agree to comply with any terms and conditions provided by such third parties.
    3. You may not use the Apps in conjunction with any third party content licensed in any manner that could cause, or be interpreted or asserted to cause, the Apps to become subject to any copyleft provisions.
    4. Your use of any third-party applications or content is at your sole risk.

J. Miscellaneous

    1. Indemnity: You agree to indemnify and hold Safe Software harmless from any demands, loss, liability, claims or expenses (including attorney’s fees), made against Safe Software by any third party due to or arising from your use of the Website.
    2. Governing Law: The Terms shall be governed by, construed, interpreted, and enforced in accordance with the laws of the Province of British Columbia and the laws of Canada. Each of the parties hereby irrevocably submits to the jurisdiction of the courts of British Columbia.
    3. Severability & Waivers: If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, void, or for any reason unenforceable, the remainder of the Terms shall continue in full force and effect. No failure or delay by Safe Software in enforcing any provision of these Terms shall be a waiver of Safe Software’s rights to enforce these Terms.
    4. FME Mobile: As of July 18th, 2023, there have been no new updates to FME Mobile (formerly FME Data Express), an FME app developed by Safe Software. FME Mobile has been deprecated and will no longer be maintained or updated. If FME Mobile is installed on your mobile device, it can still be used, but it is not recommended. Use of FME Mobile is at your risk and discretion. Safe Software shall have no liability for any damages arising from your use of FME Mobile.
    5. In addition to the feedback mechanism embedded in the Apps, you may provide any additional feedback regarding the Apps by submitting a support case to Safe Software.
    6. Any notices relating to the Apps should be sent to legal@safe.com.
    7. All other terms of the Agreement remain in full force and effect.

FME® Software License Agreement

IMPORTANT – READ CAREFULLY: This FME Software License Agreement (“Agreement“) is a legal agreement between you, either as an individual or a legal entity, and Safe Software Inc. (“Safe Software“) for the Software and Related Materials as defined below.  If applicable, any additional terms set out in Appendix I form part of this Agreement.

By installing, downloading, copying, accessing, or otherwise using the Software and Related Materials, you agree to be bound by the terms and conditions below. IF YOU DO NOT AGREE TO ALL THESE TERMS AND CONDITIONS, THEN DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE AND RELATED MATERIALS.

This Agreement is a license from Safe Software and is not a sale of goods. This Agreement gives you limited rights to use Safe Software’s proprietary Software and Related Materials. All rights not explicitly granted in this Agreement are reserved to Safe Software.

  1. Definitions. The following words shall have the following meanings:
    1. “Concurrencies” means the maximum number of machines, virtual or otherwise, that may use the Software simultaneously.
    2. “Engines” means the proprietary processing cores linked to a license of the Software.
    3. “Environment” means the combination of Software with hardware, third-party applications, and other computing elements for one of the following purposes: disaster recovery (which may include failover), non-production (which may include testing, pre-production, quality assurance, or other non-production use), and production. 
    4. “Software” means the actual copy of all or any portion of Safe Software’s proprietary FME software products, including FME Form, FME Flow, FME Engines, and related software development kits (“SDKs”), in any format and includes backups, patches, service packs, updates, extensions, or permitted merged copies.
    5. “Related Materials” means all of the user, reference, operating, training, or related information supplied by Safe Software in printed or electronic form, including new, revised, and corrected documents.
  2. Permitted Uses.
    1. Pursuant to the terms and conditions of this Agreement, Safe Software hereby grants to you a limited, non-exclusive, non-transferable license to install and use the Software and Related Materials as follows:
      1. If you acquire a fixed license, you are authorized to install and use one copy of the Software on a single designated physical or virtual machine so that the Software is only accessible to a single user.
      2. If you acquire a floating license authorizing a specified number of Concurrencies, you may install the Software on multiple machines, provided that the number of users using the Software at any one time is not greater than the authorized number of Concurrencies.
      3. If you acquire a server license, you may install the Software without restricting the number of users. A server license may be associated with standard Engines, CPU-usage Engines, or both. You may use no more than the authorized number of standard Engines associated with your server license.  You may use an unlimited number of CPU-usage Engines for the duration of the CPU processing hours associated with your server license. 
    2. You may use a Software license in a single Environment only. For example, you must acquire three separate licenses to set up a disaster recovery Environment, a non-production Environment, and a production Environment. Licenses for different Environments cannot be combined into a single license file.
    3. You may provide access to and use of the Software to any affiliate, consultant, or contractor solely for your benefit.
    4. You may make additional copies of the Software and Related Materials only as reasonably required for internal backup protection.
    5. FME Flow Software may be used as part of a cloud-based application or web service offered to the public, provided that:
      1. there must be added functionality or value to your cloud-based application or web service and FME Flow functionality cannot be offered to third parties in a standalone configuration;
      2. third parties must not be able to access administrator functions in FME Flow; and
      3. third parties must not be able to upload or use their own FME workspaces with your cloud-based application or web service.
    6. When used as part of a cloud-based application or web service, FME Flow may be used to process your own data or third-party data for the benefit of third parties.
  3. Uses Not Permitted.
    1. You are not permitted to:
      1. act as a service bureau or application service provider that allows third parties direct access to the Software;
      2. sell, rent, host, lease, sub-license, lend, timeshare, transfer, or otherwise provide unlicensed third parties direct access to the Software;
      3. reverse engineer, decompile, disassemble, alter, modify, or create any derivative works of the Software and Related Materials except to the extent permitted in this Agreement or by law; or
      4. use the Software for any unlawful, illegal, or illicit purposes.
    2. Except as expressly provided in this Agreement, you may not use the Software to provide paid consulting services to third parties where the primary purpose of such consulting services is to provide data management, translation, or transformation unless the third party has a Software license.
    3. Other than as part of a cloud-based application or web service that uses FME Flow, you may not use the Software to process third-party data solely for the use and benefit of third parties. You may not use FME Form to provide any stand-alone data translation system or service for third parties.
  4. Third-Party Components. The Software may include software components licensed by third parties (“3rd Party Components“). Copyright notices and licenses for 3rd Party Components are available in the Legal Notices file located in the “About” box of the Software or may be requested by contacting legal@safe.com. All 3rd Party Components’ license terms work in conjunction with this Agreement, and together they are complete statements of your rights and restrictions with respect to the Software. Where there is a conflict between a 3rd Party Components’ license terms and this Agreement, the 3rd Party Components’ license terms will prevail.
  5. Sample Data, Authorization Credentials, & Encryption Keys.
    (a) You may use the sample data provided with the Software to test, evaluate, and demonstrate features of the Software, and for no other purpose.(b)The Software may contain pre-installed authorization keys or credentials (the “Credentials”) to permit connectivity with various web services. You may only use these Credentials in connection with the Software. Safe Software disclaims all liability for the use of the Credentials, and you acknowledge that Credentials are provided by third-party licensors, are not within the control of Safe Software, and may be disabled without notice. If you use the Software for production purposes, you should obtain your own account and authorization credentials for the web services you plan to use. Instructions for obtaining your own authorization credentials will be included in the Related Materials.(c) Safe Software cannot access any data you process using the Software. You are solely responsible for using, storing, and protecting any encryption keys used to encrypt static data processed using the Software. Safe Software is unable to access or recover any lost encryption keys.
  6. Privacy.  Safe Software will process personal data according to the terms of its Privacy Policy located at www.safe.com/privacy. The Software may collect usage statistics upon Software activation. Safe Software uses statistics to identify usage trends and patterns to improve the Software and Related Materials. For more information, including how to manage your participation, please see our Usage Statistics Policy.
  7. License Exchange.  All upgraded and replacement licenses are provided to you on a license exchange basis. You agree to uninstall the old Software license upon installation of a new Software license when you upgrade the Software from one license type to another (for example, from fixed to floating) or move the Software to a new machine. You voluntarily terminate your rights to use the old Software license, except to the extent that the old Software license is required to transition to the new Software license.
  8. Ownership & Copyright.  Safe Software and its 3rd Party Component licensors retain exclusive title to and ownership of any copy of the Software and Related Materials licensed under this Agreement. Copyright laws and applicable international treaties and conventions protect the Software and Related Materials. The structure, organization, and code are the valuable trade secrets of Safe Software and its licensors. You agree:
    1. you will not remove, obscure, or deface any logo, notice, trademarks, or legend of copyright from the Software or any Related Materials;
    2. you have no right to use any of Safe Software’s trade names, trademarks, service marks, logos, domain names, or other distinctive brand features;
    3. not to export the Software and Related Materials into a country that does not have copyright laws that will protect Safe Software’s proprietary rights; and
    4. to use reasonable efforts to protect the Software and Related Materials from unauthorized use, reproduction, distribution, or publication.
  9. Third-Party Applications for the Software.
    1. If you use the Software in conjunction with software, interfaces, application programming interfaces (“APIs”), plugins, products, or other services developed, operated, or provided by any party other than Safe Software (collectively, “Third-Party Applications”), you agree that you are solely responsible for acquiring the license and rights to use the Third-Party Applications. You are solely responsible for your use of the Third-Party Applications and any data loss or other losses or damages you may suffer as a result of using such Third-Party Applications. Safe Software does not warrant or support any Third-Party Applications or control the privacy practices of any Third-Party Application, whether or not they are recommended by Safe Software. Notwithstanding any other term in this Agreement, Safe Software shall have no responsibility, liability or indemnification obligations for any claims, losses or damages arising out of or in connection with your use of any Third-Party Applications. Safe Software does not guarantee compatibility with any Third-Party Applications, and Safe Software shall not be responsible for any changes or new developments in Third-Party Applications that may interrupt your use of the Software.
    2. You will ensure that any license terms for such Third-Party Applications do not:
      1. create, or purport to create, obligations for Safe Software or its 3rd Party Component licensors with respect to the Software;
      2. grant, or purport to grant, any rights to Safe Software’s or its 3rd Party Component licensors’ intellectual property; or
      3. grant, or purport to grant, any immunities under this Agreement.
  10. Feedback. If you or your employees, contractors, or agents provide any feedback, suggestions, improvements, or other input regarding the Software or Related Materials (collectively, “Feedback”) to Safe Software, you grant Safe Software a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, copy, modify, distribute, and create derivative works from the Feedback for any purpose, including improving and marketing the Software and Related Materials. You acknowledge and agree that you will not receive any compensation or recognition for any Feedback provided, and that Safe Software is not obligated to use or act upon any Feedback. You further represent and warrant that you have the necessary rights to provide the Feedback and that providing such Feedback does not violate any obligations you have to third parties.
  11. Export Controls. You acknowledge and understand that the Software may be subject to export controls and sanctions laws (the “Export Controls”) in Canada, the USA, or other jurisdictions.  You will not access or use the Software in a manner that would cause either party to violate any Export Controls, including access to or use of the Software in embargoed countries or regions, or use the Software for any prohibited end use that requires special licenses or permits (i.e., any nuclear, chemical or biological weapons proliferation).
  12. Assignment. You shall not assign any of your rights under this Agreement without the prior written consent of Safe Software, which will not be unreasonably withheld. Any purported assignment without such consent shall be null and void.
  13. Term.
    1. Any Software acquired under a subscription plan will expire at the end of the subscription term.
    2. Any Software acquired on an individual license basis for a production Environment will be licensed in perpetuity unless specified elsewhere in this Agreement, in a separate written agreement signed by both parties, or as otherwise specified in the ordering documents for such Software.
    3. CPU-usage plans for Engines will expire when you have used all CPU processing hours permitted in the ordering documents or, if CPU processing hours have been unused for more than one year, then Safe Software may expire any remaining hours after providing thirty (30) days’ prior notice to you. You understand that, under a CPU-usage plan, the Software will track the number of CPU processing hours used and the Engines will be disabled when all ordered CPU processing hours have been consumed.
    4. Any related support and maintenance services for perpetual licenses may be ordered in annual increments and may require additional payments.
  14. Termination.
    1. This Agreement is valid for the term of the Software acquired unless terminated earlier as set out below. 
    2. This Agreement and the corresponding right to use the Software may be terminated immediately if either party breaches this Agreement and fails to cure the breach within 30 days after delivery of written notice of such breach.
    3. Safe Software will not issue any refunds for early termination unless termination is due to Safe’s breach as set out in subsection (b). 
    4. On termination or expiration, you shall uninstall the Software, Related Materials, and any whole or partial copies, modifications, and merged portions in any form. 
    5. The parties agree that all provisions that protect Safe Software’s rights shall remain in force upon termination or expiry. 
  15. Limited Warranty. Safe Software warrants that it has the power to grant the license rights described in this Agreement. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFE SOFTWARE MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO MERCHANTABILITY, USE OF REASONABLE SKILL AND CARE, OR FITNESS FOR ANY PARTICULAR PURPOSE. THE SOFTWARE AND RELATED MATERIALS ARE PROVIDED “AS IS” AND WITH ALL DEFECTS AND ERRORS. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SAFE SOFTWARE ASSUMES NO LIABILITY FOR DAMAGE TO ANY SYSTEM ON WHICH THIS SOFTWARE IS INSTALLED, FOR CORRUPTION OF ANY DATA TRANSLATED BY THE SOFTWARE, OR FOR LOSSES ARISING IN THE EVENT THIRD PARTIES ARE ABLE, FOR ANY REASON, TO USE OR ACCESS THE SOFTWARE OR YOUR DATA OR SERVICES WITHOUT CHARGE. Your exclusive remedy and Safe Software’s entire liability for breach of warranty shall be to refund any fees you paid to Safe Software in the last 12 months.
  16. Special Disclaimers.
    1. Artificial Intelligence (AI) Disclaimer. As described in the Related Materials, the Software may integrate third-party or first-party AI-powered functionality. You may use this AI functionality at your option, and such AI functionality is delivered “AS IS” and without warranty of any kind.   Safe Software fully disclaims any liability or indemnities relating to claims arising from your use of AI-powered functionality.
    2. Data Sources. You are solely responsible for the integrity, security, confidentiality, and availability of any data, images, files, resources or other inputs (collectively, “Data Sources”) you access or process using the Software. Safe Software fully disclaims any liability or indemnities relating to claims arising from your use of corrupted, vulnerable, insecure or otherwise unreliable Data Sources.
  17. Infringement Indemnity. This section states Safe Software’s entire obligation for infringement.
    1. Safe Software will defend and indemnify you from any action brought against you to the extent that it is based on a claim that the Software or Related Materials infringe a copyright, patent, trademark, or other intellectual property right of any third party, provided that: 
      1. Safe Software is promptly notified in writing of the claim;
      2. you provide Safe Software with reasonable assistance, information, and authority necessary to negotiate and settle the claim;
      3. such claim does not arise from the use of a superseded or modified release of the Software if such infringement would have been avoided by the use of the current or unmodified release of the Software; and
      4. such a claim does not arise from the use, operation, or combination of the Software with Third-Party Applications, data, equipment, or materials not provided by Safe Software if such infringement would have been avoided by use of the Software without such Third-Party Applications, data, equipment, or materials.
    2. Should the Software become, or in Safe Software’s opinion be likely to become, the subject of any claim of infringement, then you will permit Safe Software, at Safe Software’s option and expense, either to:
      1. procure for you the right to continue using the Software; or
      2. replace or modify all or a portion of the Software so that it is non-infringing.
    3. If, in Safe Software’s reasonable opinion, neither of the remedies set out above are available or practical, Safe Software may terminate this Agreement and refund any fees you paid to Safe Software in the last 12 months.
  18. LIMITATION OF LIABILITY.  NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFIT, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE AND RELATED MATERIALS, WHETHER OR NOT SUCH LOSS OR DAMAGE IS REASONABLY FORESEEABLE. EXCEPT AS PROHIBITED BY LAW, IN NO EVENT WILL SAFE SOFTWARE BE LIABLE, IN DAMAGES OR OTHERWISE, IN EXCESS OF THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE LAST 12 MONTHS. The parties agree that Safe Software has set its fees and entered into this Agreement in reliance on the disclaimers and limitations set forth herein and that they reflect an allocation of risk between the parties and form an essential basis of the bargain between the parties.
  19. No Implied Waivers. Any failure or delay by Safe Software in enforcing any right or remedy under this Agreement shall not be a waiver of any term or condition of this Agreement nor any subsequent breach thereof.
  20. Order of Precedence. The terms of this Agreement supersede the terms in any purchase order, policy, or other document you give to Safe Software. This Agreement may only be modified by a written amendment signed by both parties.
  21. Language. French and other language translations of this Agreement are available at https://www.safe.com/legal/fme-sla-translations/. If there is a conflict between English and non-English versions, the English-language version will prevail.
  22. Applicable Law. The laws of British Columbia, Canada, govern this Agreement. Any disputes shall be resolved by arbitration or in a court of competent jurisdiction in British Columbia, Canada.
  23. Validity. If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, such provision will be interpreted so as best to accomplish its objectives and the remainder of this Agreement will remain valid.
  24. No Other Rights Granted. Except as expressly provided, no other right or license is granted under this Agreement.

APPENDIX I – ADDITIONAL TERMS:

The following additional terms may apply to specific license scenarios. In the event of a conflict between these additional terms and any previous terms in this Agreement, these additional terms will apply.

  1. IF YOU ELECT “YES” TO INSTALL AN SDK DURING SETUP, this paragraph also applies to your use of the Software and Related Materials. You may use the SDK solely to design, develop, and test applications that interface with the Software and for no other purpose. You agree that you are solely responsible for any applications created using the SDK.
  2. IF THE SOFTWARE IS LICENSED UNDER AN EVALUATION LICENSE, this paragraph also applies to your use of the Software and Related Materials. The term for these licenses will be limited. Software under an evaluation license cannot be used for any production purposes. It must be used solely for evaluations, demonstrations, proof of concepts, prototypes, and self-learning.
  3. IF THE SOFTWARE IS LICENSED UNDER A WORK EXTENSION LICENSE, this paragraph also applies to your use of the Software and Related Materials. The term for these licenses will be limited. You must have a paid, production license of the Software under active maintenance to be eligible for a Work Extension License. Work Extension Licenses are for learning, evaluating, and experimental purposes only. You may not use a Work Extension License for production use, including, but not limited to, running production workflows, testing production workflows, or creating workflows that will be run in a production Environment.
  4. IF THE SOFTWARE IS LICENSED UNDER A HUMANITARIAN, RESEARCH, OR NON-PROFIT GRANT LICENSE, this paragraph also applies to your use of the Software and Related Materials. The term for these licenses will be limited. Software under these licenses cannot be used for any commercial purpose and must be used solely for the projects approved by Safe Software during the application process.
  5. IF THE SOFTWARE IS LICENSED UNDER A STUDENT, INSTRUCTOR, TRAINING, OR OTHER EDUCATIONAL LICENSE, this paragraph also applies to your use of the Software and Related Materials. The term for these licenses will be limited. Software under these licenses cannot be used for any production or commercial purposes and must be used solely for training, demonstrations, and education.
  6. IF THE SOFTWARE IS LICENSED UNDER A RECENT GRADUATE LICENSE (“Grad License”), this paragraph also applies to your use of the Software and Related Materials. The term for Grad Licenses will be limited. Grad Licenses may be used at your place of employment for production or commercial use for your employer’s benefit, provided that the Grad License is used solely by you as the named user and licensee.
  7. IF THE SOFTWARE IS LICENSED UNDER A DEMO LICENSE, this paragraph also applies to your use of the Software and Related Materials. The term for demo licenses will be limited. Software under a demo license cannot be used for production purposes or to provide paid services to third parties. Demo licenses are to be used solely for demonstrations, evaluations, training, internal learning, proof of concepts, and prototypes. Additional usage rights may be agreed upon between the parties as part of a signed agreement.
  8. IF THIS SOFTWARE, OR A COMPONENT OF THE SOFTWARE, IS LABELED AS “BETA”, “TECHNICAL PREVIEW”, OR “RELEASE CANDIDATE”, this paragraph also applies to your use of the Software and Related Materials. Beta, Technical Preview, and Release Candidate versions of the Software, or components within the Software, are considered pre-release software and may contain defects and errors. You accept all risks of using these versions of the Software whether or not the risks are foreseeable or reasonable.
  9. IF YOU DOWNLOAD AND INSTALL CONTENT FROM THE FME HUB FOR USE WITH THE SOFTWARE, this paragraph also applies. Third parties may provide FME Hub content. Such third-party content is not tested, verified, or supported by Safe Software. You agree to accept all risks of downloading and using FME Hub content in accordance with the following terms, whether or not the risks are foreseeable or reasonable:

    Official (Safe):
    The component is provided by Safe Software. We recommend you review the documentation before using this component. Safe Software’s limitation of liability as set out in the FME Software License Agreement applies.

    Verified (Safe)
    : The component is provided and verified by Safe Software, but it is not tested to the same standard as Safe ‘Official’ content. Safe Software disclaims all liability for use of this component. We recommend you review the documentation before using this component.

    Verified Publisher (3rd Party)
    : The component is provided by a third-party, Verified Publisher. While Verified Publishers agree to maintain a high standard of reliability, security, and support, the component is not tested or supported by Safe Software. Are there any restrictions on installing FME on virtual or cloud-based machines?

No restrictions.

Can I let my outside consultants use my FME license to do work on my behalf?

Yes.

I don’t own an FME license, but my outside consultant has an FME license. Can they use their license to do work on my behalf?

No, consultants may not use their own licenses to do paid work for third parties. A consultant may purchase a license on your behalf and we will register the license in your name. If you choose, you can designate your consultant to manage your annual maintenance renewals. The consultant can then use your license to provide consulting services to you.

Can I transfer or assign my license to another party?

Yes, but you must contact Safe to request a transfer of your license. We may ask you to complete an Assignment form.

Can I use my FME Form license to provide SaaS or other web-based services to third parties?

No. FME Form is intended as a desktop application with a single user per license.

Can I use my FME Flow license to provide SaaS or other web-based services to third parties?

Yes, as long as you: (i) include some value-added functionality as part of your web-based service; (ii) do not give third parties access to FME Flow administration tools; and (iii) do not allow third parties to upload their own FME Workspaces to your FME Flow instance. FME Flow functionality cannot be used as part of a service that is competitive to FME Flow Hosted.

Does FME software include components licensed under open source licenses?

Yes, you can see a list of open source components at https://www.safe.com/legal/terms-and-conditions/foss/.

Is FME software considered a COTS, or ‘commercial-off-the-shelf’, application?

Yes, FME software is COTS software. Safe Software does not provide customized modifications, implementations, or services. This allows us to offer our software at a fraction of the cost of a customized application.

My organization has multiple floating licenses, do I need to pay maintenance for each license?

Yes, maintenance requirements apply per license. You should not combine licenses with different maintenance statuses or use valid maintenance on one license to access newer software versions on licenses with expired maintenance. Safe Software may refuse future license requests where you have circumvented these restrictions and may require additional payment.

Does Safe Software have access to my business data when I use FME Form or FME Flow?

No, we do not see or access any data you process using FME Form or FME Flow. These are on-premise software applications. Your staff should install them in a computing environment exclusively under your control. Safe tracks only anonymized usage statistics. If you are looking for a hosted solution, we also offer FME Flow Hosted, which has different licensing terms.

Will Safe Software agree to additional warranty, indemnity, and support terms?

No. We believe that our standard indemnity and warranty provisions are fair and reasonable given that we are providing a cost-efficient, on-premise, COTS software application. Like most other providers of COTS software, we offer the same standard support to all our customers. For additional support options, please see our Premium Support offering.

We cannot agree to customer-specific support, warranty, or indemnity provisions at our price point. However, we encourage you to reach out to one of our partners if you need enhanced support.


FME® Training – Terms of Use

FME Training includes:
  1. Live training offered by Safe Software Inc. (“Safe Software”), which may be delivered using Strigo or other third-party platforms;
  2. A self-serve training portal called FME Academy located at https://academy.safe.com; and
  3. All other related training materials, software, data, and documentation (collectively, the “Materials”).

Safe Software’s Website Terms of Use and Privacy Policy apply to your use of and access to FME Training, with the following additional terms and conditions:

Participant Code of Conduct

FME Training and, in particular, the live training offerings, may allow participants to communicate directly with each other and with Safe Software staff. Safe Software has the right, but not the obligation, to monitor participant communications. Safe Software may, with or without notice, remove you from a live training class, restrict your access to FME Academy, or otherwise limit your access to FME Training if you participate in any communications which Safe Software believes, in its sole and unfettered discretion, are discriminatory, harassing, illegal, or otherwise offensive in nature. We expect all participants to follow our Code of Conduct.

Use of FME Training Materials

All Materials are provided solely for training purposes.

You may not remove or obscure any Safe Software copyright or trademark notices on the Materials.

If software is provided to you as part of the Materials, you agree that you will not reverse engineer, decompile, disassemble, alter, modify, or create any derivative works of such software. On completion of training, you shall delete or return to Safe Software the software Materials and any whole or partial copies, codes, modifications, and merged portions in any form.

The Materials describe the functionality and use of the FME software at the time of publication. Any FME or other software, and the descriptions of these software products, are subject to change without notice. Materials may be modified, retired, replaced, or updated at any time in Safe’s sole discretion.

Safe Software makes FME Training and all Materials available solely on an “as-is” basis with all defects and errors. Safe Software makes no warranty either expressed or implied, including, but not limited to, any implied warranties of merchantability, non-infringement, or fitness for a particular purpose. In no event shall Safe Software be liable to anyone for direct, indirect, special, collateral, incidental, or consequential damages in connection with or arising out of the use, modification, or distribution of the FME Training or related Materials.

Some Materials are provided at github.com/safesoftware. You may use, modify, and distribute these Materials, subject to the following restrictions:

  1. The origin of the Materials and any associated FME software must not be misrepresented.
  2. Redistributions in the original or modified form must include Safe’s copyright notice and any applicable Data Sources notices.
  3. You may not suggest that any modified version of the Materials is endorsed or approved by Safe Software.
  4. Redistributions in the original or modified form must include a disclaimer which: (a) states that the Materials are provided “as-is”; (b) disclaims any warranties; and (c) waives any liability claims.

This Privacy Policy explains how Safe Software Inc. and its global affiliates and subsidiaries (collectively, “Safe Software”) collect, use, and disclose your Personal Information when you interact with:

  • Our websites and online resources that link to this Privacy Policy
  • FME® software products and services, including FME Form, FME Flow, FME Flow Hosted, and FME Realize
  • FME Community, FME Hub, and Partner Portal
  • Events we host or sponsor, training, evaluations, and customer support
  • Other online or offline sales and marketing activities

This Privacy Policy does not apply to:

  • Information processed by Safe Software about its employees or applicants, which are governed by a separate privacy notice
  • Information processed by Safe Software on behalf of its customers

Safe Software may update this Privacy Policy to reflect new technologies, industry practices, or legal requirements, or for other operational reasons.

We will notify you of any material changes and, where required by applicable law, obtain your consent. Notification may be provided by email (using the most recent address you have provided), by posting an updated policy on our website, or through other appropriate means in accordance with applicable law.

II. WHO CONTROLS YOUR PERSONAL INFORMATION 

Safe Software acts as both a data controller and a data processor.

In all regions, Safe Software Inc. acts as a controller. If you are located in the European Economic Area, the UK, or Switzerland, Safe Software Technologies Limited and Safe Software Inc. are co-Controllers. If you are in the United States, Safe Software Corp. and Safe Software Inc. are co-controllers. 

Safe Software acts as a controller when we collect Personal Information for our own purposes (e.g., account setup, orders, support, community). For FME Flow Hosted customers, Safe acts as a processor of customer Personal Information processed within customer instances. A list of the sub-processors used for our FME Flow Hosted platform is provided in Appendix A.

While we expect that most customers are not using FME Flow Hosted to process Personal Information, if you are and you require a Data Processing Addendum (“DPA”) then you can request one here.

III. INFORMATION WE COLLECT

Safe Software collects both Personal Information and Non-Personal Information.

  • Personal Information means any information relating to an identified or identifiable natural person. This includes information that can directly identify someone, such as a name or address, as well as information that, when combined with other data, can indirectly identify an individual. Examples range from a name and email address to an IP address, a cookie ID, or a location data point.
  • Non-Personal Information means information which does not relate to an identified or identifiable natural person or to Personal Information rendered anonymous in such a manner that the data subject is not or no longer identifiable. information that alone cannot be used to identify or contact you. This may include generalized or aggregated data on your use of FME Products, as well as information about your organization.

When you interact with Safe Software, we collect some or all of the following categories of information:

IV. HOW WE COLLECT INFORMATION

Safe Software collects information in the following ways:

  • Directly: you provide it when you make purchases, request trials/keys, register for accounts, training or events, complete forms/surveys, contact Sales/Support, or participate in community features.
  • Automatically: via our websites and services (e.g., log files, device data, cookies, clear GIFs, click‑through URLs, in‑product telemetry).
  • In‑product:
    • When enabled, Software Usage Statistics provide Safe Software with Non-Personal Information that allows us to understand how features perform and guide future development. We implement measures to ensure that this data cannot be used to identify individuals, and we never sell usage data. Participation is optional and can be changed in product settings. For more information, see our Usage Statistics Policy.
    • Embedded web services & APIs: e.g., background maps, Hub connections, and third‑party APIs; IP addresses may be used for delivery, error detection, and security.

If you create a public profile or post in the FME Community, FME Hub, or other Safe forums, your information is public and not confidential. Others may read, collect, or use personal details you share (including to contact you). You are responsible for what you post, and Safe Software is not responsible for the information you choose to disclose.

V. HOW WE USE YOUR INFORMATION

 Safe Software values your privacy. We do not sell or rent your information to unrelated third parties. We collect data only to deliver, improve, and support our products and services. Safe Software may use your information to:

Provide you with access to FME products, services, and customer support

We collect information needed to activate licenses, provide services, and resolve support requests. Payment details are handled directly by a third-party processor, and we rely on trusted partners (e.g., Google, Salesforce, HubSpot, Amazon) for processing, storage, and security.

Communicate important updates, product information, and security notices

We use your contact details to share operational messages, including release notes, service announcements, and security notices. We may also contact you about new products, features, training, or events that could be relevant to your use of FME. You can opt out of marketing emails at any time. 

Personalize your experience and tailor our offerings to your needs

We use your IP address to present regional content and, where relevant, share limited details with authorized partners. who provide local services. These partners are bound by confidentiality and may use your information only for Safe-related communications that support your experience. We may combine personal and Non-Personal Information to understand customer behaviour and tailor product guidance, training, and content to your role or industry. 

Facilitate training, events, and community engagement

Registration information helps us schedule training, webinars, and events; send reminders; confirm attendance; and provide follow-up resources. If you register for a jointly hosted event, we may share your details with the co-host, who will handle them in accordance with their own privacy policy. You can choose not to register if you prefer not to share with co-hosts.

Enhance product performance and user experience

We gather usage statistics through our FME software. The resulting statistics help us identify trends and usage patterns (for example, what formats and transformers are used more than others). This information helps us focus our development efforts on future versions of FME software, improve the features you use most, and ensure you get maximum value from your FME license. The usage statistics feature is voluntary, and you can opt out at any time.

We may also seek your feedback on unreleased FME software features.

Comply with legal, regulatory, and security obligations

We may process or disclose information as required by law or legal process, to enforce agreements, prevent fraud or abuse, and protect the security of our services and users.

VI. DISCLOSURE OF YOUR INFORMATION

Safe Software may disclose your Personal Information in the following circumstances:

  • With your consent, or at your direction;
  • With vendors, consultants, or other service providers who perform services for us; or
  • With enterprise customers on whose behalf you interact with Safe Software (e.g. as an employee).

Safe Software will only disclose Personal Information without your knowledge or consent in the following limited circumstances:

  • When the collection, use, or disclosure is authorized or required by law;
  • When the information is necessary to investigate a breach of an agreement or a contravention of a federal or provincial law;
  • When the information is publicly available;
  • When it is clearly in the individual’s interests and consent is not available in a timely way; or
  • To comply with a subpoena, a warrant, or order made by a court or other body with appropriate jurisdiction, but only after providing notice to you whenever legally possible.

VII. LEGAL BASIS FOR PROCESSING

We process your Personal Information for legitimate business purposes, to meet our legal obligations, to fulfil contractual or pre-contractual obligations, or when you have given us your consent.

If you have consented to our use of your Personal Information for a specific purpose, you have the right to withdraw your consent; however, this will not affect any data processing that has already occurred.

Legitimate business purposes include some or all of the following:

  • to deliver the products and services you have requested;
  • to enable us to enhance, modify, personalize or otherwise improve our services and communications for the benefit of our customers;
  • to identify and prevent fraud;
  • to enhance the security of our network and information systems;
  • to better understand how people interact with our websites and web services;
  • to provide direct marketing and communications related to our products; or
  • to determine the effectiveness of promotional campaigns and advertising.

Whenever we process data for these purposes, we will ensure that we always respect your privacy rights and take them into account.

You have the right to object to this processing if you wish, and if you wish to do so please contact privacy@safe.com. Please bear in mind that if you object this may affect our ability to carry out some tasks for your benefit.

VIII. CROSS-BORDER TRANSFER OF INFORMATION

Safe Software utilizes servers in Canada, the US, and Europe. As a result, your information may be processed on servers located outside of the country where you live.

Data protection laws vary among countries, with some offering more protection than others. Regardless of where your information is processed, Safe Software adheres to GDPR and PIPEDA standards and applies the same protections described in this Privacy Policy.

Safe Software also complies with relevant legal frameworks relating to the transfer of data. These are described below.

 Adequacy Decisions

The European Commission has determined that certain countries outside of the European Economic Area (EEA) adequately protect Personal Information. The UK, Switzerland, and Brazil have adopted similar adequacy mechanisms. When transferring data, we may rely on the following adequacy decisions:

  • European Commission adequacy decisions
  • UK adequacy regulations
  • Swiss adequacy decisions
  • ANPD adequacy decisions

Data Privacy Frameworks

Safe Software Corp. complies with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF) as set forth by the U.S. Department of Commerce.

Safe Software Corp. has certified to the U.S. Department of Commerce that it adheres to the EU-U.S. Data Privacy Framework Principles (EU-U.S. DPF Principles) with regard to the processing of personal data received from the European Union in reliance on the EU-U.S. DPF and from the United Kingdom (and Gibraltar) in reliance on the UK Extension to the EU-U.S. DPF.

Safe Software Corp. has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF.

Information about the types of third parties to which we disclose Personal Information, and the purposes for which we do so, is described above. In the context of an onward transfer, Safe Software Corp. is responsible for the processing of Personal Information that it receives under the Data Privacy Framework and subsequently transfers to a third-party agent acting on our behalf. If such third-party agents process Personal Information in a manner inconsistent with the DPF Principles, we remain liable unless we prove we are not responsible for the event giving rise to the damage.

Standard Contractual Clauses

Standard Contractual Clauses (“SCCs”) are written agreements between parties that can serve as a basis for data transfers from certain countries to third countries.

SCCs have been developed by the European Commission. These cannot be modified by the parties using them. Safe Software may rely on the EU SCCs for our data transfers where required and in instances where they are not covered by an adequacy decision.

IX. DATA SECURITY AND RETENTION

Safe Software strives to limit the amount and type of Personal Information that we collect to just those details necessary to respond to your requests, share information with you, and process your transactions. We will retain your information only as long as necessary to fulfil legal or reasonable business purposes.

Safe Software is committed to ensuring the security of your information in order to protect it from unauthorized access, collection, use, disclosure, copying, modification, or destruction. The following security measures will be implemented to ensure that your information is properly protected: the use of user IDs and passwords, access controls, firewalls, antivirus software, intrusion detection systems, system penetration testing, and physically secure office facilities.

We will employ appropriate security measures when destroying your information, including shredding hard-copy documents and deleting electronically stored information.

Safe Software is committed to upholding your privacy rights, as outlined in relevant privacy legislation. You have the right to:

You are entitled to receive a copy of this information up to one time per calendar year in a standardized format and the information will not be specific to you individually. Safe Software reserves the right to not respond to requests submitted to addresses other than the addresses specified in this paragraph. In your request, please attest to the fact that you are a California resident. Safe Software reserves the right to require proof of residence. Please allow up to thirty (30) days for a response.

Consent

Safe Software will obtain your consent to collect, use, or disclose Personal Information. Your consent may be express or implied where the purpose for collecting or disclosing the Personal Information would be considered obvious and you voluntarily provide Personal Information for that purpose (for example: submitting an email request for support or signing up for a webinar).

Subject to certain exceptions, you may withhold or withdraw your consent for Safe Software to use your information by selecting the unsubscribe mechanism included in email communications, deleting your accounts with Safe Software, or contacting privacy@safe.com.  

Your decision to withhold or withdraw your consent to certain uses of Personal Information may restrict our ability to provide a particular service or product. If so, we will explain the situation to help you make an informed decision.

As described in our Cookie Notice and Policy, Safe Software may use cookies to deliver content specific to your interests and to monitor website usage.

Usage Statistics

We gather usage statistics through our FME software. The resulting statistics help us identify trends and usage patterns (for example, what formats and transformers are used more than others). This information helps us focus our development efforts on future versions of FME software, improve the features you use most, and ensure you get maximum value from your FME license. The usage statistics feature is voluntary, and you can opt out at any time. See our Usage Statistics Policy for details.

At Safe Software Inc. (“Safe Software”), we believe artificial intelligence (“AI”) can amplify human capability, enhance productivity, and enable secure, privacy-conscious innovation. This Responsible AI Policy outlines our commitment to developing, deploying, and using AI—whether proprietary or third-party—in ways that are ethical, transparent, and aligned with our guiding principles of Security, Transparency, Privacy, and Accountability.

We see AI as a collaborative assistant, rather than an autonomous decision-maker. Our goal is to ensure all AI tools augment human judgment, maintain accountability, and respect human rights.

2. Scope

This policy applies to:

  • AI developed by Safe Software (e.g., AI Assist and future AI features).
  • Third-party AI vendors engaged by Safe Software.


3. Guiding Principles

Safe Software is committed to empowering organizations to securely and effectively solve their data integration challenges. AI offers enormous potential for businesses and public services that span all industry sectors. However, these technologies also create new challenges for customers, users, and other stakeholders who deploy, use, or are otherwise impacted by AI. 

As part of Safe Software’s commitment to responsible AI governance, we have grounded our approach to AI development, deployment, and use in the following set of guiding principles. 

4. Security and Reliability

We enforce technical and administrative safeguards to ensure AI features are rigorously tested, responsibly deployed, and monitored for ongoing risk mitigation. 

  • We adhere to a secure-by-design philosophy, embedding rigorous security testing and continuous monitoring throughout AI lifecycles.
  • Third-party AI Vendors must demonstrate appropriate certifications (e.g., ISO/IEC 27001, SOC 2 Type II) and maintain controls ensuring data confidentiality, integrity, and availability.
  • AI systems must be resilient against misuse, manipulation, and bias, and must perform reliably within defined parameters.

5. Transparency

We believe in clarity and openness in how AI systems operate and affect people. Transparency means that we communicate openly about where, how, and why AI is used in our products and services.

6. Privacy and Data Governance

Protecting individual privacy is a foundational value at Safe Software. AI systems depend on data, and we are committed to using that data responsibly. 

  • We comply with GDPR, PIPEDA, and all applicable data protection laws.
  • AI solutions are built using privacy-by-design and data minimization principles; they only use the data necessary for their function. 
  • Personal and confidential information is handled in accordance with our Privacy Policy, with appropriate Data Processing Agreements in place.

7. Human Oversight and Accountability

At Safe Software, we believe that human judgment must always remain at the center of the responsible use of AI. Human oversight is essential to maintaining trust in all AI-driven processes.

AI Assist

Using AI without critical oversight can be risky, which is why FME is designed to keep users in control of their work and data. AI Assist does not replace human expertise. It serves as a supportive tool to accelerate learning and enhance workflow quality while maintaining decision-making autonomy in the hands of the user. Specifically:

  • Users are responsible for reviewing and validating all AI outputs before any use or reliance
  • AI Assist is regularly subjected to our internal User Acceptance Testing. 
  • We test all AI-powered features thoroughly to ensure they are accurate and aligned with our product philosophy.

Third Party AI Vendors

Third Party AI Vendors are subjected to testing and review before being engaged by Safe Software. 

  • Third Party AI Vendors are subject to a rigorous vendor review process by cross-functional teams in Legal, Security, and Privacy, which evaluates:
    • Data protection, intellectual property, and model ownership.
    • Ethical risk factors and societal impacts.
    • Alignment with Safe’s ISO 27001 and SOC 2 frameworks.
  • All AI systems undergo periodic review by cross-functional teams in Legal, Security, and Privacy.
  • We ensure human review of AI-driven decisions in sensitive areas, such as hiring.

Trademark Usage Guidelines

I. Overview

Safe Software’s trademarks, logos, taglines, screenshots, and other distinctive brand elements (“Safe Brand Features”) are valuable intellectual property assets. These guidelines (the “Guidelines”) explain when and how you may use Safe Brand Features.

By using any Safe Brand Features, you agree that:

  • Safe Software Inc. (“Safe Software”, “Safe”) is the sole owner of the Safe Brand Features.
  • Any goodwill arising from your use of Safe Brand Features belongs exclusively to Safe Software.
  • You will not challenge, misuse, or take any action inconsistent with Safe Software’s rights in the Safe Brand Features.

Safe Software may update these Guidelines at any time in its sole discretion.

II. Scope and Applicability

These Guidelines apply to:

  • Customers, resellers, partners, contractors, community members, and other third parties who wish to reference Safe Software or our products; and
  • Safe employees, unless other internal brand policies apply.

If you have a separate written agreement with Safe Software (for example, a partner, reseller, or certification agreement) that includes specific trademark usage rules, those terms control to the extent they conflict with these Guidelines.

III. Our Trademarks

Safe Brand Features include, without limitation:

  • Word Marks: “Safe Software”, “FME”, “FME Form”, “FME Flow”, “FME Flow Hosted”, “FME Realize” and other current and future product or service names.
  • Logos: the Safe Software logo, the FME logo, and any other logo or icon we provide.
  • Other brand elements: taglines, brand lockups, and distinctive graphical or user interface elements that identify Safe or FME.

Additional trademarks may be added, removed, or updated from time to time. The omission of any mark from these Guidelines does not mean Safe Software waives any rights in that mark.

IV. Who May Use Safe Brand Features

You may refer to Safe and FME products and services in a truthful, fair, and non-misleading way, for example:

  • To describe your use of FME;
  • To accurately describe compatibility or interoperability (e.g., “for use with FME® software”); or
  • In neutral editorial or educational content.

However, use of our logos or any use that suggests sponsorship, endorsement, or partnership generally requires express written permission from Safe Software, unless specifically allowed in these Guidelines.

V. General Rules for Using Safe Trademarks

When you use a Safe trademark:

1. Use marks as adjectives, not nouns or verbs.

  • Correct: “FME® software is used around the world.”
  • Incorrect: “FME is used around the world.”

2. Do not make trademarks plural or possessive.

  • Correct: “I purchased three FME® software licenses.”
  • Incorrect: “I purchased three FMEs.”
  • Correct: “FME® software has the ability to transform data.”
  • Incorrect: “FME’s ability to transform data is unparalleled.”

3. Use correct spelling and capitalization.

  • “FME” should always appear in all capital letters.
  • Do not abbreviate, translate, or intentionally misspell Safe trademarks.

4. Do not combine Safe marks with your own names.

  • Avoid names like “FMEblog”, “FMEmania”, “F-M-E Tools”, or similar constructions that combine our marks with other words, symbols, or numbers.

5. Do not alter Safe marks.

  • Do not change spelling, spacing, punctuation, color, or typeface in word marks.
  • Do not modify or distort logos (see Section 7). 

V!. Trademark Symbols and Notice

To help protect the distinctiveness of Safe marks:

1. First / most prominent use

  • On each document, web page, slide deck, or marketing asset, use the appropriate trademark symbol with the first or most prominent reference to a Safe Word Mark, for example: FME®, FME® Form, FME® Flow, FME® Flow Hosted.

2. Subsequent uses

  • After the first marked use, you may omit the symbol if doing so improves readability, provided the overall document still clearly identifies the marks as Safe trademarks.

3. Placement

  • Place the symbol immediately after the Word Mark in superscript (e.g., FME®). If superscript is not available, you may use (R) or (TM).

4. Attribution statement

  • Where space allows (e.g., at the end of a document, in a footer, or on product packaging), include a trademark attribution such as:
  • “FME®, Safe Software®, FME Form®, FME Flow®, and FME Flow Hosted® are trademarks or registered trademarks of Safe Software Inc.”
  • Adapt this statement as needed to reflect the specific marks actually used.

VII. Logo Usage

As a general rule, you may not use Safe logos without express written permission from Safe Software, except as explicitly permitted in these Guidelines.

If Safe approves logo use, you must:

  • Use only official logo files provided by Safe Software;
  • Not alter the logo’s colors, proportions, orientation, or design elements;
  • Maintain sufficient clear space around the logo so it is not crowded by other text or graphics;
  • Ensure the logo is sharp and legible (do not reproduce it too small or in low resolution); and
  • Not use logos purely as decorative elements.

You may display the FME logo in a portion of your website or collateral dedicated to the sale, support, or implementation of FME products, provided you also include the attribution: “FME® is a registered trademark of Safe Software Inc.”

VIII. Use of Safe Trademarks in Third-Party Products and Services

You may indicate that your product or service is compatible or interoperable with FME products using a referential phrase, provided all of the following conditions are met:

1. The Safe mark is not part of your product, service, or company name.

  • Correct: “ABC Extension for FME® software”
  • Incorrect: “FME ABC Extension”

2. Your product or service is not marketed, packaged, or named in a way that would cause confusion about whether it is an official Safe product.

3. You use clear and accurate referential phrases such as “for use with”, “compatible with”, or “works with FME® software”.

4. Your materials include an appropriate trademark attribution statement, for example: “FME® is a registered trademark of Safe Software Inc. and is used here for reference only.”

5. Any legal or technical requirements in a separate agreement with Safe (for example, an SDK license, partner agreement, or Verified Publisher agreement) are followed.

IX. Prohibited Uses

Unless you have Safe Software’s prior written consent, you may not:

  1. Company, product, or service names: Use any Safe trademark (in whole or in part) as the name of your company, product, service, app, or feature.
  2. Domain names and social media handles: Register or use domain names, social media handles, or similar identifiers that include Safe trademarks (for example, “fme-consulting.com”, “@FMETrainingExperts”).
  3. Logos and brand elements: Use any Safe logo or graphical brand element except as expressly permitted in these Guidelines or a separate written agreement.
  4. AdWords and online advertising: Bid on or use Safe trademarks as keywords or in paid search, display ads, or similar advertising platforms in a way that is misleading or suggests affiliation or sponsorship.
  5. False or misleading uses: Use Safe trademarks in any manner that is deceptive, confusing, or implies a relationship with Safe (such as partnership, endorsement, certification, or sponsorship) where none exists.
  6. Unacceptable content: Use Safe trademarks on or in connection with any website, product, or material that is unlawful, obscene, defamatory, harassing, discriminatory, or otherwise objectionable to Safe Software.
  7. Stylization and alterations: Modify Safe trademarks (including spelling, abbreviations, phonetic equivalents, translations, or stylizations) or combine them with other terms to create new marks or logos.
  8. Metatags, hidden text, or misleading SEO: Use Safe trademarks in hidden text, metatags, or other search-optimization techniques with the purpose or effect of diverting users from Safe’s official sites.

X. Editorial, Educational, and Event Use

You may use Safe word marks (not logos) in the titles or subject matter of books, blogs, articles, whitepapers, seminars, or conferences where such use is referential and necessary (for example, a book or workshop about using FME® software), provided that:

  1. Your own name, logo, or mark appears more prominently than any Safe mark;
  2. Your content does not disparage Safe Software or its products;
  3. You include a clear disclaimer of affiliation on all event or publication materials, such as:

    “This publication / seminar / workshop is an independent resource and is not affiliated with, authorized, sponsored, or otherwise approved by Safe Software Inc.” 
  4. You include an appropriate trademark attribution statement.

XI. Reporting Misuse and Contact Information

  • Any use of Safe trademarks, logos, or other brand features that is confusingly similar to Safe Brand Features; or
  • Any use that appears to violate these Guidelines;

Usage Statistics – FME® Form & Flow

Safe Software Inc. (“Safe Software”) is committed to protecting your privacy while developing amazing data transformation software. Since 2005, FME software has contained a usage statistics feature that provides you with a better user experience and helps us improve our products. The following describes what information we collect, outlines how Safe Software handles the information, and explains how you can manage your participation.

Safe Software truly values input from our customers to help make FME software relevant, easy to use, and indispensable for your data transformation needs. We ask customers for their feedback at conferences, in training seminars, and when you contact us for support. And we really do listen!

Another way we gather customer feedback is by gathering usage statistics through our FME software. The resulting statistics help us identify trends and usage patterns (for example, what formats and transformers are used more than others). This information helps us focus our development efforts for future versions of FME software, improve the features that you use the most, and ensure you are getting maximum value from your FME license. The usage statistics feature is voluntary and you can opt out at any time.

Safe Software does not collect personally identifiable information, such as a name, address, telephone number or email address as part of the usage statistics feature.

Safe Software does not sell usage statistics or share them with third parties for marketing purposes. Usage statistics are used to improve your FME experience. 

All information collected is handled in accordance with Safe Software’s Privacy Policy.

What information is being collected?

When you choose to permit usage statistics, your computer will send information to Safe Software, which may include product name, version, build number, platform (for example, Win64), and configuration settings (for example, dark mode, locale language), unique Safe-assigned user ID, serial number, and usage information such as length of session. This data is not linked to any personally identifiable information and can be used to create an organization profile and is also aggregated with data from other users for analysis. This helps Safe Software to compare data from identical installations and determine popular configurations.

Safe Software may also collect product usage information such as selected menu items, toolbar buttons pressed, dialogue boxes used, localizations, and what readers, writers, transformers, and coordinate systems are being used. This helps us identify usage patterns, such as the most popular readers, writers, and transformers. It also helps us identify how we should invest in future development, create high-value support resources, and improve our user interfaces.

System configuration information, such as the operating system that your computer is currently running helps Safe Software identify what system configurations should be used in our testing to best match our customer’s environments and to plan our future development based on hardware trends and the adoption of new technologies.

Safe Software may also collect information such as serial numbers and hashed user IDs. This allows Safe Software to tie usage statistics to an organization. This helps Safe Software to:

  • Provide knowledge, training, and support related to our FME Software.
  • Provide tailored troubleshooting assistance, including diagnosing compatibility or performance issues.
  • Recommend features or capabilities that may be relevant to your workflows.
  • Ensure our customer success and account teams can better support your goals.
  • Inform our customer success teams so they can provide more relevant support and solutions.

Safe Software does not sell usage statistics or share them with third parties for marketing purposes. Safe Software may present aggregated usage statistics at events, trade shows, customer meetings, and training seminars.

Does Safe Software receive any of my data processed through FME?

No. Safe Software never receives your datasets, dataset names, file names, field values, sample data, descriptions, or notes entered by users. 

How often does the usage statistics feature send data?

Typically, the data collected on your system will be sent when you start the FME software. If your computer does not have access to the internet, the data will be collected and sent the next time you are online and running the FME Software. 

All data collected is encrypted before being sent to Safe Software.

If I choose to participate, can I opt out later?

Yes, you may choose to join or end participation at any time. 

In FME Form:

  • On Windows or Linux, you may change your preferences at any time by going to the “Utilities” drop down menu in FME Workbench, selecting “FME Options”, selecting the “Workbench” tab, and then scrolling to “General” to review your options.

You will never receive unsolicited third-party marketing or spam as a result of participating. Safe Software does not sell usage statistics or share them with third parties for marketing purposes. 

At any time, you can opt-out from receiving communications from Safe Software related to usage statistics by emailing privacy@safe.com. 

By sharing usage statistics, you’re helping us make FME faster, more reliable, and better suited to your needs. However, the choice is always yours.

 


Vendor Privacy and Security Policy

1.  Purpose and Overview

This Vendor Privacy and Security Policy (this “Policy”) is one part of our efforts to work with Vendors, such as yourself, to reduce the risks to Safe Software Inc. and its customers. In today’s interconnected world, the security of information placed on any set of networked systems is dependent upon the security of all of the participants in that network. This Policy establishes a minimum set of controls that must be followed by all Safe Software’s Vendors in order to protect Safe Software Information and, where applicable, Safe Software Systems (and Your Systems if they interface with ours).

2.  Defined Terms and Scope
2.1  Defined terms
  1. Agreement: means any written document or verbal agreement that memorializes and governs the relationship between you and Safe Software.
  2. Safe Software Information, or SSI: means any information received from or about Safe Software, either directly or indirectly in any form, and any data, materials, processes, or information you develop for us or receive as a result of this relationship. Whether a safeguard is “appropriate” to protect SSI depends on the nature of the information.
  3. Safe Software Systems, or SSS: means computer systems owned, licensed or otherwise used by Safe Software which process, transmit, store, or maintain SSI.
  4. Safe Software, us, our, or we: means Safe Software Inc.
  5. You or your: means the Vendor and also the Vendor’s Third Party Providers which have access to SSI or SSS.
  6. Your Systems: means computer systems owned, licensed or otherwise used by you which process, transmit, store, or maintain SSI.
  7. Third Party Providers: means any entity other than Safe Software which provides you products or services which relate to the subject of this Policy or the Agreement.
  8. Third Party Provider Systems: means computer systems owned, licensed or otherwise used by your Third Party Providers which process, transmit, store, or maintain SSI.
2.2  Scope

All SSI is subject to this Policy. In the event of any conflict between this Policy and any Agreement, the conflict will be interpreted and construed in a manner which provides the broadest security and protection of SSI.

3.  Policy Statement

You will implement appropriate organizational, technical, and physical safeguards to ensure the security, privacy, confidentiality, integrity, and availability of SSI. Whether SSI is stored on, processed on, or transmitted by SSS, Your Systems, or Third Party Provider Systems, you (and your Third Party Providers if applicable) will use information security controls to: (1) protect any and all SSI and SSS you have access to while performing your obligations under any Agreement; and (2) protect Your Systems and your Third Party Provider Systems on which SSI is stored, processed, or transmitted.

4.  Termination of Access

Your access to any SSI and/or SSS, including but not limited to any Safe Software customer and/or employee information, is subject to your continuing compliance with this Policy. We may immediately, automatically, and unconditionally revoke your access, and all links and interfaces, to SSI and/or SSS without liability for any reason.

5.  Information Retention & Disposal

You will, at no additional charge to Safe Software, retain SSI as required by the Agreement, as directed by Safe Software in writing, or, if there is no agreed-upon retention requirement outside of this Policy, until the end of your engagement with Safe Software. At the end of our specified retention period, or upon our written request at any time, you will return or destroy, and certify in writing that you have destroyed or returned, all SSI, as we direct. If we require information destruction, you will destroy SSI in a confidential manner. This means you will shred paper copies of SSI and you will destroy electronic copies in a confidential manner so that they are no longer usable, readable, or decipherable, and the information on them is not retrievable. Nothing in this Policy will prevent you from maintaining information, still subject to confidentiality obligations, as required by law or any regulatory authority to which you are subject.

6.  Minimum Information Security Controls

You must implement and maintain the minimum information security controls set forth below. You may implement additional controls as appropriate for your business.

6.1  Application of Security Controls

The security controls outlined in section 6.3 shall apply to personnel, processes and/or technology involved in the work you or your Third Party Providers do with or on behalf of Safe Software.

6.2  Audit of Security Controls
  1. If we request, you will provide a written description of compliance with this Policy, which includes, at a minimum, how you implement each security control set forth below. This written description will be completed at your expense and certified in writing by your authorized representative.
  2. In addition, if we request, you will allow us, or our independent third party, to audit your compliance with this Policy (including without limitation performing penetration testing and vulnerability scans). You will work with us, at your own expense, to remedy any deficiencies identified in the audit.
  3. Nothing in this section limits our audit or other rights we may have in any other Agreement with you or your Third Party Providers.
6.3  Security Controls Catalog

1. Security Management: Must have a comprehensive written information security program, based on best practices standards for your industry, which is designed to protect the confidentiality, integrity, and availability (“CIA”) of assets under your management

1.1 Policy framework Security program that contains operational information security policies aligned to relevant standards, such as ISO 27001/27002, SOC2, or NIST
1.2 Policy review Information privacy and security policies reviewed and revised on a regular basis
1.3 Program manager Person(s) designated to coordinate and be responsible for the program and privacy and security-related activities and incidents
1.4 Training and awareness Security training and awareness activities performed regularly and designed to enable employees to identify risks to CIA
1.5 Communication Information privacy and security policies regularly communicated to appropriate personnel and your Third Party Providers

2. Risk Management: Must perform risk assessments to evaluate risks regarding collection, storage, and use of information. Information classification and ownership must be defined for all information assets allowing for inventorying and management, controls application, and compliance with relevant data retention policies.

2.1 Risk mitigation Continually identify and mitigate internal and external risks that could result in the unauthorized disclosure, misuse, loss, alteration, destruction, or other compromise of confidential information including SSI
2.2 Risk assessment Regular (but not less than annual) information privacy and security risk assessments in each area of relevant operation
2.3 Testing and monitoring Regular testing and monitoring of the effectiveness of your safeguards’ key controls, systems, and procedures
2.4 Information classification Appropriate classification, labeling, and handling of information

3. Personnel Security: Controls must be implemented to enable employees, contractors/contingent workers, and service providers to adhere to policies and standards according to roles and access and to reduce the risk of theft, fraud, loss, and misuse of facilities or information.

3.1 Personnel Screening To reduce the risk of theft, fraud, and/or misuse of facilities, assure that employees, contractors and third party users understand their responsibilities and are suitable for the roles for which they are considered, including through any appropriate personnel screening
3.2 User acknowledgment of security awareness All employees, contractors and third party users are aware of information security threats and concerns, their responsibilities and liabilities, are regularly required to acknowledge awareness, and are equipped to support organizational security policy in the course of their normal work, and to reduce the risk of human error

4. Physical and Environmental Security: Appropriate physical controls commensurate to risk must be implemented, managed, and reviewed to prevent unauthorized physical access, damage, and interference to information assets and IT infrastructure and equipment. In addition, physical protection against external and environmental threats such as natural disasters, malicious attacks, or accidents must be implemented, managed, and reviewed.

4.1 Implementation of controls Implement physical and environmental security controls that address purpose, scope, roles, responsibilities, management commitment, coordination among entities, and compliance (a freely available reference is NIST 800-53 rev. 4 (Information Security and Privacy Controls), Appendix F (Controls catalog), Family PE (Physical and Environmental Protection))

5. Operations Management: Organization must securely operate IT infrastructure and applications supporting information assets through the application of key operational management controls, including but not limited to the maintenance of system and network documentation, employment of consistent and secure change and incident management processes, and maintaining vendor- supported and patched infrastructure and software.

5.1 Responsibility for assets Appropriate protection of assets based on classification, information sensitivity, and other factors
5.2 Ownership of assets Assignment of responsibility to a designated part(s) of the organization for all information and assets associated with information processing facilities

6. Security Monitoring and Response: Vendor must leverage appropriate network and endpoint-based controls to facilitate security logging and monitoring of user activities, exceptions, faults, and events in accordance with business, legal, and regulatory requirements. Collected logs and associated analysis must be appropriately archived, protected from unauthorized access, and regularly reviewed.

6.1 Incident Response Comply with specified incident response process for SSI and SSS
6.1.1 Reporting information security events and weaknesses Communicate information security events and weaknesses associated with information systems in a manner allowing timely corrective action to be taken
6.1.2 Reporting information security events Report information security events through appropriate management channels as quickly as possible
6.1.3 Management of information security incidents and improvements Provide a consistent and effective approach to managing information security incidents
6.2 Responsibilities and procedures Follow documented responsibilities and procedures to respond to information security incidents quickly, effectively, and in an orderly way
6.3 Cooperation with Safe Software & external parties Cooperate with Safe Software in investigations of any incidents involving SSI or SSS; in addition, fully cooperate with any reviews, audits, or assessments Safe Software requests, and any financial institution, law enforcement and credit card brand organizations associated with the investigation of the incident and underlying causes

7. Cryptographic controls: Cryptographic controls to protect the confidentiality, integrity, and availability of information assets in transit and at rest including controls for the management and use of cryptographic keys must be developed, implemented, and reviewed on a periodic basis.

7.1 Use of information Only use SSI for the purposes for which it was provided and for no other purpose; comply with any cryptographic controls specified by Safe Software, which will be reasonable for the circumstances
7.2 Encryption of PII and portable devices Encrypt (i) laptops and all other portable devices storing SSI; as well as (ii) files containing personally identifiable information
7.3 Encryption in transit Encrypt (i) all messages containing SSI which is personally identifiable information (or files containing personally identifiable information) during transit over public networks; as well as (ii) all files containing personally identifiable information included in a message sent over public networks

8. Access Control: Access to resources must be regulated through the use of information security access controls and robust authorization mechanisms commensurate to risk.

8.1 Minimum access necessary Access must be limited to the minimum necessary to perform the required function
8.2 Password Policy Maintain and enforce a password policy which addresses password length, composition, complexity, lockout, history, and expiration
8.3 Remote Access Policy Maintain and enforce a remote access policy which addresses connectivity, software and hardware requirements, encryption and secure computing, and device management
8.4 Termination of access Revoke access for any Vendor employee, contractor, or third party user to SSI and facilities which process SSI or provide access to SSS upon termination of their employment, contract or agreement, or adjust access upon change to responsibility

9. Network Security: Network specific information security controls must be leveraged to protect information assets that traverse the Vendor’s network.

9.1 Firewalls Vendor must appropriately leverage firewall infrastructure to segregate sensitive environments, and restrict the use of insecure protocols

10. Vendor management: Vendor must manage its third parties to protect Safe Software resources and ensure the confidentiality, integrity, and availability of SSI and assets.

10.1 Written Agreements with Third Party Providers Assess, select, and retain Third Party Providers capable of appropriately safeguarding SSI and establish agreements with Third Party Providers which require compliance with the these security controls and a comprehensive information privacy and security program
10.2 Notification of Material Changes Promptly notify Safe Software in writing of any changes which may have a material adverse impact on obligations under this Policy or on the effectiveness of your or your Third Party Providers’ information privacy and security program

11. Business Continuity and Disaster Recovery: Vendor must have appropriate BC and DR capabilities to prevent or mitigate business interruption and associated impact. Vendor must test its BC and DR capability regularly.

11.1 Information security aspects of business continuity management Counteract interruptions to business activities and protect critical business processes from the effects of major failures of information systems or disasters and ensure their timely resumption

12. Compliance: Information security and data protection controls and processes must comply with applicable law, statutory, regulatory or contractual obligations, and any Industry Standard Information Security requirements to avoid breach and/or compromise of SSI and SSS.

12.1 Safe Software Privacy Policy Only use Safe Software customer information in accordance with Safe Software’s customer privacy policy (safe.com/privacy)
12.2 PCI Data Security Standards [ONLY APPLICABLE TO VENDORS WITH ACCESS TO PAYMENT CARD INFORMATION] If you have access to or will create, receive, store, process, or transmit Safe Software’s or our customers’ cardholder information (e.g. credit, debit, stored value, or prepaid card information), you, at your own expense, warrant (for as long as you maintain custody, care, or control of such cardholder data):
(i) you are, and will remain, responsible to secure cardholder information in its care, custody, possession, or control; and
(ii) you will comply with the applicable then-current Payment Card Industry Data Security Standards (“PCI Standards”).If Third Party Providers will have access to or will create, receive, store, process, or transmit Safe Software’s or our customers’ cardholder information, you warrant that you will require these requirements of your Third Party Providers.
12.3 Compliance with International Laws If you have access to or will create, receive, store, process, or transmit SSI of our customers, you agree and warrant all processing, storage, retention, and destruction of personal data by you and your Third Party Providers will be in compliance with all then-current applicable international, federal, provincial, state, and local laws, rules, regulations, and ordinances, including without limitation data breach notification laws. For purpose of clarification and without limiting the foregoing, if you collect, receive, process, store, retain, or destroy personal information of any citizen of Canada, California, or the European Union in connection with performing services for Safe Software, then:
1. all processing, storage, retention and disposal of personal data of citizens of Canada will comply with Canada’s law on Personal Information Protection and Electronics Document Act and any provincial laws which may apply based on location;
2. all processing, storage, retention and disposal of personal data of citizens of California will comply with the California Consumer Privacy Act; and
3. all processing, storage, retention and disposal of personal data of citizens of European Union comply with EU’s General Data Protection Regulation 2016/679, including all implementing legislation and successor statutes, laws, rules, regulations and directives.

If any provision of the TOU is found by a court of competent jurisdiction to be unlawful, void, or for any reason unenforceable, the remainder of the TOU shall continue in full force and effect. No failure or delay by Safe Software in enforcing any provision of the TOU shall be a waiver of Safe Software’s rights to enforce these TOU.
